Corporate Legal Consultant – Attorney

This is a fully remote position, open to applicants in Poland.

📋 Description

• Prepare, assess, and negotiate commercial contracts, encompassing vendor agreements, client MSAs/SOWs, NDAs, partnership agreements, and reseller agreements.

• Provide guidance on corporate structuring and governance within Uvation's multi-entity framework.

• Oversee regulatory compliance across various jurisdictions, including GDPR, UAE data protection law, employment law, and sector-specific infrastructure/technology compliance.

• Assist with contractor and employment agreements in collaboration with HR, including cross-border contractor arrangements and worker classification risks.

• Counsel on and resolve vendor/supplier disputes, invoice inconsistencies, and contractual escalations.

• Aid in legal work related to fundraising, investments, or mergers and acquisitions as needed.

• Coordinate with external counsel when local representation is necessary.

• Maintain corporate documentation, board resolutions, and statutory filings across entities.

• Proactively identify legal and regulatory risks to the leadership team.

⛳️ Requirements

• Juris Doctor (JD) degree.

• Active bar admission/license in the UAE and/or a European jurisdiction.

• At least 5–8 years of corporate/commercial legal experience.

• Ideally, experience in-house or with a corporate law firm serving technology/infrastructure clients.

• Proven expertise in cross-border contracts and multi-jurisdictional compliance.

• Familiarity with GDPR and UAE data protection regulations.

• Experience advising on contractor versus employee classification matters across jurisdictions.

• Previous experience in the technology, cloud infrastructure, or AI/GPU industries is preferred.

• Familiarity with Deel or similar EOR/contractor management platforms is advantageous.

• Capability to work independently across jurisdictions with limited local precedent.

• Ability to identify risks early and communicate them in clear, understandable terms.
