Corporate Lawyer, Legal Counsel Expert

This is a fully remote position, open to applicants in Texas.

📋 Description

• Offer legal assistance for transactional, compliance, and governance issues.

• Act as the primary legal advisor on legal inquiries and provide legal counsel.

• Counsel on contract risks and commercial solutions while aligning business goals with legal standards.

• Draft, review, and negotiate SaaS agreements, contract amendments, NDAs, termination letters, and other client-facing documents.

• Maintain contract templates and manage internal approval processes.

• Work collaboratively with insurance brokers on contractual endorsements.

• Conduct legal training sessions for the Americas Sales Team.

• Keep track of regulatory changes, evaluate their implications and risks, and advise on necessary actions.

• Collaborate on the implementation and integration of AI-driven legal technology solutions.

• Organize support from external legal counsel.

• Carry out additional responsibilities as assigned by Senior Management.

⛳️ Requirements

• Juris Doctor (J.D.) degree from a law school accredited by the American Bar Association.

• A minimum of 10 years of experience as a practicing transactional attorney in the U.S., including at least 3 years focused on SaaS negotiations.

• Must hold an active license to practice law in the United States.

• Exceptional interpersonal, verbal, and written communication skills, along with proficiency in negotiation and contract drafting.

• Capable of communicating professionally and being approachable with legal advice that is appropriately tailored to different audiences, both within EcoVadis and with legal representatives of contracting parties.
