Corporate Lawyer, Legal Counsel Expert

This is a fully remote position, open to applicants in Florida.

📋 Description

• Provide legal assistance for transactional, compliance, and governance issues.

• Act as the primary attorney for legal inquiries.

• Offer guidance on contract risks and commercial solutions while aligning business goals with legal standards.

• Draft, review, and negotiate commercial contracts, including SaaS agreements, contract addenda, NDAs, termination letters, and other client-facing documents.

• Maintain contract templates and manage internal approval processes.

• Collaborate with insurance brokers regarding contractual endorsements.

• Deliver ongoing legal training to the Americas Sales Team.

• Keep track of regulatory changes, evaluate their implications and risks, and provide updates and recommendations.

• Work together on the adoption and integration of AI-powered legal technology tools.

• Coordinate support from external legal counsel.

• Carry out other responsibilities as reasonably required and directed by Senior Management.

⛳️ Requirements

• Juris Doctor (J.D.) degree from a law school accredited by the American Bar Association.

• A minimum of 10 years of experience as a transactional lawyer practicing in the U.S., with at least 3 years focused on SaaS negotiations.

• Active legal license to practice law in the United States.

• Exceptional interpersonal, verbal, and written communication skills, along with strong negotiation and contract drafting abilities.

• Capability to communicate professionally and provide approachable legal advice tailored to diverse audiences, including EcoVadis and contracting counterparty legal representatives.
