Corporate Governance, Securities Paralegal

This is a fully remote position, open to applicants in Texas.

📋 Description

• Oversee the administration of corporate securities, including management of equity plans, share issuances, transfers, and cancellations.

• Ensure the accuracy of capitalization tables and maintain securities records.

• Prepare, review, and file necessary regulatory and securities documentation, such as SEC filings and disclosures for stock exchanges.

• Guarantee compliance with applicable securities laws, regulations, and standards of corporate governance.

• Provide support for mergers, acquisitions, financing activities, reorganizations, and restructurings.

• Collaborate with legal advisors, transfer agents, auditors, regulators, and financial institutions.

• Advise internal stakeholders on policies, procedures, and best practices related to securities.

• Monitor changes in securities regulations and evaluate their impact on the organization.

• Assist with matters concerning boards, shareholders, and committees related to equity and securities.

• Offer training and support to junior team members or cross-functional teams as needed.

⛳️ Requirements

• A Bachelor’s degree in Law, Finance, Business Administration, Accounting, or a related discipline.

• A minimum of 5 years of experience in corporate securities, corporate governance, legal, or compliance positions.

• In-depth knowledge of securities laws, regulatory frameworks, and the administration of equity.

• Proficiency in managing capitalization tables and working with equity management platforms.

• Exceptional attention to detail, along with strong analytical and organizational abilities.

• Capability to handle multiple priorities and meet deadlines in a dynamic environment.

• Outstanding written and verbal communication skills.

• Professional certification in corporate governance, securities, or related compliance credentials is advantageous.

• Experience in publicly traded or highly regulated entities is preferred.

• Familiarity with international securities regulations is a plus, if applicable.
