This is a fully remote position, open to applicants in Turkey, +5 more countries.
• Manage entity profiles, including information on officers and directors, addresses, registered-agent records, ownership details, and organizational structures.
• Systematically organize and refresh minute books, charters, bylaws, operating agreements, resolutions, consents, certificates, and related documentation.
• Execute approved updates to entity information and ensure consistency between internal systems and external portals.
• Address authorized requests for governance documents and entity-related information.
• Maintain calendars for annual reports, renewals, foreign qualifications, franchise filings, registered-agent matters, and other recurring responsibilities.
• Prepare and coordinate necessary filings, certificates, applications, cover letters, and supporting documents.
• Track filing statuses, acquire evidence of acceptance, and keep good-standing certificates and official correspondence up to date.
• Identify upcoming deadlines, rejected filings, discrepancies, and overdue items for escalation.
• Draft standard resolutions, written consents, incumbency certificates, signature packets, and materials for meetings.
• Oversee reviews, approvals, electronic signatures, notarization, filing, and final retention of records.
• Assist with the formation, dissolution, qualification, reorganization, transaction, audit, and diligence projects related to entities.
• Aid in monitoring intellectual property registrations, renewals, assignments, and related records.
• Generate routine reports on entity status, open actions, upcoming obligations, missing records, and completion of filings.
• Conduct periodic comparisons of entity data and governance records to assist in resolving inconsistencies.
• Maintain trackers, checklists, templates, naming conventions, and document retention practices.
• Safeguard confidential and privileged information while adhering to quality-review procedures.
• Bachelor’s degree in legal studies, business, finance, accounting, or a similar field; equivalent relevant experience may be accepted.
• A minimum of 2 years of experience in corporate governance, entity management, corporate legal operations, paralegal support, or a comparable administrative role.
• Capability to handle detailed, deadline-oriented tasks across multiple entities and jurisdictions.
• Excellent written communication, document control, and quality review capabilities.
• Preferred experience in maintaining entity records, preparing filings, coordinating signatures, or organizing minute books.
• Completion of paralegal or corporate governance coursework or certification is advantageous.
• Background in financial services, commercial lending, private lending, banking, fintech, specialty finance, mortgage lending, or another highly regulated sector is preferred.
• Familiarity with entity data, governance calendars, and corporate records administration.
• Understanding of corporate filings, resolutions, consents, and signature coordination.
• Experience with organizational charts, minute books, and document repositories.
• Proficiency in Microsoft Office and familiarity with entity management or registered-agent platforms.
• Reliable and stable internet connection.
• Professional and dedicated setup for remote work.
• Ability to work effectively in a remote, multinational organization while maintaining confidentiality.
