Corporate Counsel, Commercial Contracts

This is a fully remote position, open to applicants in California, +2 more states.

📋 Description

• Collaborate with leadership across business units to offer legal advice and strategies for risk reduction.

• Prepare and negotiate commercial contracts along with associated agreements.

• Provide legal support to the commercial legal team and various internal business units.

• Identify opportunities for process enhancements and revise internal playbooks and templates.

• Manage and adhere to internal service level agreements while effectively prioritizing tasks in a dynamic work environment.

• Take ownership of legal projects and cultivate expertise on issues encountered by the customer contracts team and internal stakeholders.

• Review requests for proposals, develop strategic responses, and draft sections that address legal matters.

• Select and oversee external counsel as necessary.

• Support commercial contracts personnel with intricate or high-risk terms and conditions, including limitations of liability, indemnification, and grounds for termination.

• Participate in discussions within the Legal Department concerning corporate-wide issues, policies, and procedures.

• Contribute to updates in the Legal Department regarding evolving laws and regulations, as well as ongoing education.


⛳️ Requirements

• Juris Doctorate from a recognized law school.

• Licensed to practice law within the United States.

• Active membership in at least one state bar association.

• At least 6–8 years of legal experience, encompassing both law firm and in-house legal positions.

• Experience in advising executive clients on business and transactional issues, including contracts, agreements, and strategic business decisions.

• Proven leadership skills, preferably with experience as counsel for a technology-driven business segment.

• Capability to function as a proactive legal generalist.

• Ability to collaborate effectively within a fast-paced and intricate organizational framework.

• Excellent interpersonal and communication abilities.

• Proficiency in analyzing complex issues and providing executive-level recommendations.

• Skill in building robust client relationships while ensuring compliance independence.

• Strong written and verbal communication skills.
