Corporate Counsel

This is a fully remote position, open to applicants in Utah.

📋 Description

• Assist in mergers, acquisitions, and various strategic transactions from the due diligence phase to closing.

• Organize cross-functional due diligence, pinpoint legal and business risks, and support transaction execution as well as post-closing responsibilities.

• Lead and coordinate post-acquisition integration efforts alongside Operations, Finance, Human Resources, Information Technology, and other business leaders.

• Monitor integration milestones, risks, dependencies, and essential action items.

• Develop and manage the Enterprise Risk Management program in collaboration with the Chief Legal & Sustainability Officer.

• Aid private equity, lender, and advisor due diligence for recapitalizations, financing transactions, and other corporate initiatives.

• Oversee significant professional liability, commercial, contractual, employment, and other intricate claims and disputes.

• Coordinate internal fact-finding, documentation, insurance, external counsel, and resolution strategies.

• Identify trends and lessons learned, and formulate mitigation strategies, policies, and business processes.

• Evaluate and support the negotiation of complex, high-risk, or escalated contracts.

• Offer legal and risk guidance on strategic corporate initiatives, major client matters, organizational changes, and cross-functional projects.

• Cultivate relationships with internal stakeholders, external counsel, insurers, advisors, and transaction partners.

• Collaborate within the legal team and extend support beyond assigned primary areas.

• Travel for transactions, training, or other business meetings as necessary.

⛳️ Requirements

• Juris Doctor degree from an accredited law school.

• Active admission to practice in one or more U.S. states.

• 8 to 10 years of legal practice experience.

• Preferably experienced in mergers and acquisitions, corporate transactions, integration, enterprise risk management, complex claims, or commercial matters.

• Proven experience coordinating complex, cross-functional projects and collaborating with executive leadership, external counsel, insurers, and other external advisors.

• Capability to prioritize multiple assignments across a broad spectrum of technical and business disciplines under tight deadlines.

• Exceptional oral and written communication skills.

• Preferred experience in engineering, environmental consulting, construction, professional services, or a private equity-backed organization.

• Ability to manage highly confidential, privileged, and commercially sensitive information with discretion and sound judgment.

• Strong legal judgment coupled with business acumen.

• Excellent project management, organizational, and cross-functional coordination skills.

• Ability to evaluate and communicate complex legal, transaction, claims, and enterprise risks.

• Proficient in managing multiple priorities while adhering to deadlines.
