This is a fully remote position, open to applicants in Virginia.
• Review, revise, negotiate, and oversee customer contracts, master agreements, purchase orders, subcontracts, SOWs, amendments, and related commercial documents.
• Assess provisions concerning liability, indemnification, warranties, liquidated damages, termination, intellectual property, payment, insurance, and delivery obligations.
• Recognize contractual and commercial risks and formulate practical alternatives and fallback strategies.
• Collaborate with Legal Counsel on significant legal matters, unusual risk exposures, disputes, and deviations from contracts.
• Examine purchase orders in relation to governing agreements and pinpoint conflicting or additional terms.
• Assist in addressing warranty claims, delay notifications, liquidated damages claims, and other commercial disputes.
• Work alongside Sales, Operations, Project Management, Finance, and leadership during negotiations.
• Maintain comprehensive records of contracts, negotiation history, approvals, and documentation of significant deviations.
• Create and sustain contract playbooks, clause libraries, approval matrices, and negotiation guidelines.
• Identify recurring contractual risks and propose enhancements to commercial practices.
• Support customer negotiations, business meetings, and project requirements through necessary travel.
• Bachelor’s degree in business, Finance, Supply Chain, Construction Management, Legal Studies, or a related discipline; equivalent experience may be taken into account.
• Over 5 years of experience in commercial contract review, negotiation, or contract management.
• Proven experience in independently reviewing and redlining intricate commercial agreements.
• Strong grasp of contractual risk allocation, including limitation of liability, indemnification, warranties, liquidated damages, intellectual property, and termination and cancellation.
• Exceptional commercial judgment with the ability to translate complex contract language into actionable business decisions.
• Outstanding written communication, negotiation, and relationship-building abilities.
• Capability to manage multiple negotiations and competing priorities effectively.
• Experience in manufacturing, engineering equipment, construction, data centers, HVAC, industrial equipment, or project-based environments is preferred.
• Contract management training or certification is a plus.
• Travel is necessary to support customer negotiations, business meetings, and project requirements.
