This is a fully remote position, open to applicants in United States.
• Assist the Paylocity legal team and dynamic commercial function.
• Draft, revise, negotiate, and oversee commercial contracts, which include service agreements, vendor agreements, statements of work, partnership agreements, amendments, NDAs, and other related legal documents.
• Manage a substantial volume of contract negotiations in collaboration with commercial counsel.
• Organize contract intake and streamline the deal pipeline, prioritizing tasks and responding to stakeholder timelines.
• Identify terms, conditions, and strategic carve-out plans to overcome negotiation challenges while minimizing risk.
• Utilize and contribute to legal playbooks and cheat sheets as negotiation resources.
• Independently evaluate and redline agreements using internal tools, appropriately escalating non-standard positions.
• Recognize and assist in enhancing contracting policies, procedures, contract lifecycle management, and related initiatives.
• Collaborate and provide advice to both internal and external stakeholders.
• Facilitate internal client discussions regarding deal structures, outstanding issues, and contract support.
• Lead live negotiations for less complex transactions as needed.
• Communicate with internal clients concerning the deal cycle, pipeline, and urgency of requests.
• Foster relationships and maintain open lines of communication with internal clients.
• Support other documents and general legal projects as required.
• At least 3 years of experience in reviewing, drafting, and negotiating contracts.
• Preferably experience with SaaS and technology agreements related to vendor transactions/procurement.
• Bachelor’s degree.
• JD is preferred but not mandatory.
• Proficient in Microsoft Word and Excel.
• Excellent organizational and time management abilities.
• Eagerness to work collaboratively in a fast-paced and changing tech landscape.
• Availability for five days a week during designated work hours.
• Must work from within the U.S.
• Capability to sit for prolonged periods, generally 7–8 hours a day.
• Proficient in operating computer and phone systems, typing, and utilizing multiple software programs simultaneously.
