Contract Analyst

This is a fully remote position, open to applicants in California, +2 more states.

📋 Description

• Conduct reviews and analyses of client, prime, and subcontract agreements to pinpoint contractual obligations, risks, and essential terms.

• Assess indemnification, intellectual property, payment, insurance, and confidentiality clauses.

• Examine prime contract and client contract provisions for alignment and relevance.

• Compare agreed terms from prior contracts with new agreements.

• Analyze flow-down provisions when Stillwater acts as a subcontractor.

• Review standard agreements in requests for proposals and prepare necessary edits or additions.

• Identify unacceptable terms and craft alternative language along with justifications and responses.

• Collaborate with signatories and project managers to negotiate satisfactory contract terms.

• Create and uphold standard contract language, templates, and negotiation guidelines in collaboration with stakeholders and legal counsel.

• Interpret and convey complex contract terms to non-legal stakeholders.

• Organize and maintain structured contract records and operational processes.

• Process contracts and amendments for project initiation and document management.

• Assist project managers in preparing, executing, and administering subconsultant agreements.

• Oversee Certificates of Insurance and handle insurance-related requests with an insurance broker.

• Directly coordinate with client and subconsultant project managers and/or contract analysts.

• Suggest process enhancements to boost efficiency and consistency.

⛳️ Requirements

• Bachelor’s degree in business, English, or a legal-related discipline.

• At least three years of experience in contract processing with progressively increasing responsibilities, including review, redlining, and negotiation with third parties.

• A combination of education and experience may be considered equivalent.

• Knowledge of contract language, obligations, and risk concepts pertinent to professional service firms.

• Capability to review legal and contractual documents and comprehend key contract terms and conditions.

• Proficiency in Microsoft Office, including Word, Excel, and Outlook.

• Advanced skills in Adobe Acrobat.

• Ability to remain stationary for over 50% of the time and operate a computer and standard office equipment with reasonable accommodation.

• Experience in contract management and familiarity with legal requirements and terms of use, especially in California.

• Background in supporting contracts within environmental consulting, architecture, engineering, construction, or other professional services sectors.

• Experience reviewing contracts from public agencies and subconsultant agreements.

• Certification or additional coursework in contract management is advantageous.
