This is a fully remote position, open to applicants in United States.
• Conduct thorough legal reviews and independently draft a diverse range of commercial agreements, such as customer contracts, strategic partnership/vendor agreements, Business Associate Agreements, and non-disclosure agreements.
• Recognize key risks, legal deviations, and operational concerns within intricate incoming contracts.
• Prepare detailed redlines and practical fallback options prior to escalation or execution.
• Utilize enterprise Contract Lifecycle Management systems to handle intake, enhance processes, track contract progress, maintain repository accuracy, and optimize workflows.
• Collaborate with Sales, Customer Success, Product, and Business Development teams to convert business requirements into contract provisions.
• Address contract-related inquiries and ensure adherence to internal risk parameters.
• Spearhead legal process enhancement initiatives to improve departmental operations and expedite contracting.
• Assist with entity management, corporate maintenance, subsidiary filings, and routine corporate/tax administration tasks if qualified by a paralegal background and interested.
• Report directly to the Assistant General Counsel.
• Over 8 years of focused experience in commercial contracting.
• In-depth knowledge of contract analysis, drafting, and meticulous redlining.
• Practical experience with digital Contract Lifecycle Management systems and contract repositories.
• Excellent written communication skills with the ability to draft clear, precise, and unambiguous contractual language.
• Strong attention to detail and capability to identify subtle risk allocation issues, operational pitfalls, or inconsistencies in third-party contracts.
• Demonstrated ability to assess legal operational workflows, pinpoint bottlenecks, and implement process enhancements.
• Ability to balance legal risks with commercial realities and provide practical analysis to internal stakeholders.
• Outstanding time-management abilities; capable of managing a high volume of contract reviews, effectively prioritizing, and meeting tight deadlines.
• Humble, diligent, collaborative, and committed to continuous learning.
• Preferred: experience with SaaS/technology licensing agreements, healthcare IT contracts, or healthcare/life sciences.
• Preferred: familiarity with commercial contract management tools and electronic signature platforms.
• Preferred: knowledge of HIPAA, Business Associate Agreements, data privacy standards, and IP/data rights clauses.
• This is a non-attorney role.
