This is a fully remote position, open to applicants in United States.
• Assess deal economics by examining customer pricing, provider costs, TCV, gross margin, deposits, payment schedules, contract terms, and cash-flow exposure prior to signature.
• Analyze customer and provider agreements collaboratively to pinpoint discrepancies in pricing, terms, payment obligations, SLAs, remedies, termination rights, liability, delivery obligations, technical specifications, and other significant commitments.
• Perform initial reviews of MSAs, SOWs, order forms, NDAs, amendments, and related agreements.
• Manage redlines and escalate critical legal issues to counsel.
• Confirm that all necessary commercial, financial, legal, and operational approvals are finalized before signing.
• Recognize and secure approval for significant exceptions.
• Maintain thorough and precise CRM records that correspond with final contracts and sanctioned economics.
• Guarantee that Implementation receives all relevant commercial terms, technical specifications, customer requirements, provider commitments, timelines, and outstanding obligations.
• Facilitate execution among Sales, Finance, Legal, Operations, providers, and leadership.
• Ensure Shadeform can execute intricate transactions swiftly without compromising commercial, contractual, or operational integrity.
• 4–8+ years of experience in deal desk, commercial operations, commercial contracts, legal operations, transaction management, or a related field.
• Significant hands-on experience with commercial contracts is essential.
• Proficient in reviewing complex B2B agreements, including MSAs, SOWs, order forms, and amendments.
• Strong grasp of payment, termination, liability, indemnification, SLAs, service credits, acceptance criteria, and contractual obligations.
• Excellent financial and spreadsheet skills to independently verify deal economics and margins.
• Outstanding attention to detail and project management capabilities.
• Strong CRM discipline and experience collaborating across Sales, Finance, Legal, and Operations.
• Ability to oversee multiple complex transactions concurrently and recognize when executive or legal escalation is necessary.
• Capacity to challenge inconsistencies and advocate when a transaction does not align with what was approved.
• JD or other legal degree preferred, but not mandatory.
• Experience with AI infrastructure, cloud computing, data centers, hardware, or other complex infrastructure transactions is advantageous.
