Commercial Counsel

This is a fully remote position, open to applicants in Brazil.

📋 Description

• Prepare, assess, and negotiate commercial contracts, mainly focusing on GTM/Sales agreements in Brazil, including contracts with enterprise clients.

• Assist with commercial agreements in other LATAM regions, encompassing SaaS, licensing, and strategic collaborations.

• Collaborate with sales, business development, and operations teams to develop high-impact go-to-market strategies.

• Track and analyze country-specific legal and regulatory changes related to data protection, technology, and AI.

• Utilize legal and regulatory expertise in contract drafting and risk evaluation.

• Create, update, and adapt contract templates, playbooks, and policies for local use.

• Offer practical, business-oriented legal guidance to cross-functional teams.

• Aid in enhancing the commercial function of the Legal Team and fostering a culture of collaboration.

⛳️ Requirements

• Juris Doctor degree and eligibility to practice law in Brazil.

• Native proficiency in Portuguese and fluent in English; proficiency in Spanish is highly desirable.

• Over 7 years of relevant post-qualification legal experience.

• In-house experience in the technology or SaaS sectors is highly preferred.

• Demonstrated history of drafting and negotiating intricate commercial and technology agreements.

• Strong understanding of enterprise software licensing, SaaS, data protection, and intellectual property.

• Experience in advising on privacy, cybersecurity, and cross-border data transfer matters.

• Exceptional communication, stakeholder management, and problem-solving abilities.

• Ability to thrive in fast-paced environments characterized by changing priorities and tight deadlines.

• Capacity to navigate ambiguity and make informed, timely decisions.

• Competence in working autonomously while engaging collaboratively with cross-functional and global teams.
