This is a fully remote position, open to applicants in California, +10 more states.
• Review and negotiate client engagement letters utilizing Firm templates.
• Identify risk issues in professional services and provide guidance on acceptable positions along with fallback language.
• Draft, review, and negotiate NDAs, confidentiality agreements, and third-party access agreements.
• Respond to RFPs by analyzing legal and contractual requirements and completing the legal sections.
• Coordinate RFP responses in collaboration with business teams.
• Manage and organize the legal department’s Smartsheet intake process.
• Triage, assign, and track legal requests while ensuring accurate record-keeping.
• Review and negotiate MSAs, BAAs, subcontractor agreements, government contracts, and various other commercial contracts.
• Provide daily legal support and guidance to the Firm’s directors.
• Escalate complex matters to the Legal Directors as needed.
• Maintain and enhance contract templates, playbooks, and process documentation.
• Implement and utilize Artificial Intelligence tools and platforms to boost efficiencies.
• J.D. degree with active bar admission.
• A minimum of 3 years of post-law school experience in contract drafting, review, and negotiation.
• Capability to independently review, respond to, and negotiate commercial agreements, including MSAs, BAAs, subcontractor agreements, and government contracts.
• Strong skills in contract drafting and negotiation, with experience in engagement letters, NDAs, and MSAs.
• Clear and confident communication with internal and external stakeholders, clients, counterparties, and outside counsel.
• Ability to manage multiple matters and meet deadlines in a fast-paced environment with minimal supervision.
• Excellent organizational skills and attention to detail.
• Comfort with workflow tools such as Smartsheet.
• Familiarity with HIPAA and data privacy regulations as they pertain to BAAs is advantageous.
• Ability to identify, explain, and balance business and legal risks.
• Skill in recognizing and escalating legal and risk issues specific to professional services engagements, including potential professional liability exposure.
