📋 Description

• Oversee venture capital financing processes from start to finish across all stages, which includes SAFEs, convertible notes, and priced equity rounds.

• Prepare and negotiate term sheets, stock purchase agreements, investors' rights agreements, voting agreements, and other related financing documents.

• Counsel founders and operators on deal structures, investor interactions, and negotiation tactics.

• Cultivate relationships with investors, opposing legal counsel, and stakeholders in the cap table to ensure smooth deal progress.

• Recognize recurring themes in contracts and negotiations, and use this insight to develop improved templates, clauses, and playbooks.

• Contribute to the development of AI-driven workflows for clients.

• Assist in establishing legal delivery standards, which encompass client communication and matter management procedures.

• Influence the firm's tools, workflows, and operational standards.

⛳️ Requirements

• 4–10 years of experience at a prominent law firm or within an in-house legal department.

• Comprehensive experience in venture capital financing.

• Strong commercial acumen.

• Capability to provide clear and practical legal advice.

• Openness to transforming how routine legal tasks are performed.

• Proficiency in utilizing AI-driven workflows and legal technologies.

• Experience in drafting and negotiating venture financing documents, including SAFEs, convertible notes, priced equity rounds, term sheets, stock purchase agreements, investors' rights agreements, voting agreements, and other related financing documents.
