Commercial Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Provide comprehensive global legal assistance on a diverse array of commercial transactions, including the drafting, reviewing, and negotiating of contracts with clients.

• Create and maintain template agreements; identify deficiencies and recommend enhancements to legal and cross-functional contract processes.

• Review, implement, communicate, enforce, and manage legal contract procedures.

• Collaborate with cross-functional teams to facilitate product development and ensure adherence to applicable laws and regulations.

• Deliver clear, reasoned risk assessments and identify opportunities related to contracts and both new and existing products and services for leadership's consideration.

• Oversee the commercial go-to-market strategy, ensuring compliance with legal and regulatory standards.

• Manage and enhance the company's intellectual property portfolio, encompassing patents, trademarks, and copyrights.

• Supervise and enforce the commercial legal contracting process to guarantee efficiency and compliance.

• Formulate and execute legal strategies to promote business growth and innovation.

• Ensure adherence to healthcare regulations, data privacy laws, and industry standards.

• Manage and resolve legal disputes and claims, collaborating with external counsel as necessary.

• Stay informed about relevant legal developments and industry trends to proactively mitigate potential legal challenges.

• Provide training and guidance to internal teams regarding legal and compliance issues.

⛳️ Requirements

• Juris Doctor (JD) degree from an accredited law school.

• Active bar membership in good standing.

• At least 5 years of experience as an in-house commercial counsel, preferably within the healthcare SaaS technology sector.

• Thorough understanding of contract law, commercial transactions, and regulatory compliance.

• Experience overseeing go-to-market strategies and managing intellectual property portfolios.

• Proven experience in managing and enforcing commercial legal contracting processes.

• Exceptional negotiation, drafting, and communication skills.

• Ability to work both independently and collaboratively in a dynamic environment.

• Strong analytical and problem-solving skills with a business-centric approach.

• Experience in implementing large-scale software programs, such as contract lifecycle management systems.

• Familiarity with AI applications in legal department operations is beneficial.

• Experience with healthcare regulations and data privacy laws is an advantage.
