Emerging Companies Counsel

This is a fully remote position, open to applicants in Canada.

📋 Description

• Provide guidance to founders regarding company formation and ongoing governance.

• Oversee venture financing transactions, including SAFEs, convertible notes, and priced funding rounds.

• Represent organizations in merger and acquisition activities.

• Draft, assess, and negotiate various commercial contracts.

• Act as the primary liaison for a portfolio of clients and manage cases from start to finish.

• Proactively identify potential issues and engage specialist support as necessary.

• Collaborate directly with founders, investors, and counterparties to advance transactions.

• Contribute to the development of AI-driven legal processes and enhance the firm's technological capabilities.

⛳️ Requirements

• Between 4 to 15 years of experience in a prominent law firm or in-house counsel role.

• Proven experience in advising emerging and venture-backed technology firms.

• Strong commercial acumen.

• Capability to provide clear, practical guidance on a diverse array of issues.

• Willingness to innovate the execution of routine legal tasks.

• Proficiency in recognizing recurring challenges and enhancing workflows.
