Transaction Counsel, CPACE

This is a fully remote position, open to applicants in California, +4 more states.

📋 Description

• Support the origination, closing, and management of C-PACE financing transactions of $10,000,000 or more.

• Prepare commercial C-PACE financing agreements and related documentation.

• Conduct legal due diligence on C-PACE transactions, encompassing capital stacks, environmental papers, borrower organizational documents, title work, condominium documents, leases, and contractor installation agreements.

• Analyze closing, conveyancing, loan, and corporate resolution documents.

• Monitor transaction tasks, involved parties, essential dates, and overall progress.

• Keep track of and follow up on post-closing issues.

• Coordinate the recording of C-PACE closing documents, amendments, and other pertinent documents.

• Perform basic legal and business research.

• Assist in the research, development, and implementation of new business lines.

• Provide support for capital market transactions and other business areas as required.

⛳️ Requirements

• A doctoral degree in law is mandatory.

• At least 3 years of experience in a law firm or in-house legal environment representing commercial real estate lenders is required.

• A minimum of 5 years of experience is preferred.

• Familiarity with Commercial Property Assessed Clean Energy (C-PACE) financing structures is preferred.

• Experience in secondary markets and securitization is preferred.

• Background in structuring and negotiating work-outs and drafting forbearance agreements is preferred.

• Capability for sedentary work is necessary.

• Must be able to work from one of the designated U.S. virtual locations: California, New York, Texas, Illinois, or Colorado.
