Senior Corporate Counsel, Datacenters and Infrastructure

This is a fully remote position, open to applicants in United States.

📋 Description

• Act as a reliable partner and primary legal representative to facilitate the signing of datacenter-related agreements, such as LOIs, MSAs, order forms, and ancillary contracts.

• Draft, review, and negotiate contracts related to the construction, deployment, and operation of datacenters.

• Manage agreements concerning datacenter capacity leasing, colocation, design/build, facilities, operations and maintenance, and infrastructure procurement.

• Assist in the procurement of GPUs, compute hardware, integrated server systems, network equipment, power supplies, and other datacenter infrastructure.

• Collaborate with teams in datacenter procurement, engineering, operations, finance, tax, and compliance on deal structuring.

• Offer business-oriented advice on risk allocation, supplier risk evaluations, and supplier/product performance and remediation strategies.

• Facilitate international expansion by tailoring requirements for new jurisdictions and coordinating with local legal counsel.

• Develop scalable legal tools, including templates, playbooks, fallback positions, and approval matrices.

• Assist with other high-priority legal tasks for the streamlined Legal Department, such as key vendor and operations agreements.

• Report directly to the Associate General Counsel at DigitalOcean.

⛳️ Requirements

• Juris Doctor (JD) degree from an accredited law school and active bar membership in at least one U.S. state.

• Over 8 years of legal expertise.

• More than 3 years of substantial in-house experience supporting datacenter or similar large-scale infrastructure initiatives.

• Established experience with datacenter contracts from the perspective of a developer/provider or tenant, including single tenant and/or colocation agreements involving modified-gross, triple net, or other lease structures.

• Proficiency in facilities agreements and operations-and-maintenance contracts.

• Understanding of datacenter operational requirements, including SLA constructs, maintenance windows, security protocols, audit rights, change control, and service credits.

• Knowledge of tax incentives and financing structures.

• Experience managing multiple projects with limited supervision to meet tight deadlines while producing high-quality work products.

• Demonstrated business acumen in assessing business and legal risks and translating complex legal advice into practical guidance.

• Exceptional communication and collaborative problem-solving abilities.

• Nice to have: Over 5 years of direct experience in negotiating enterprise datacenter leases.

• Nice to have: Experience in international procurement, trade compliance, and supply-chain risk management.

• Nice to have: Experience in negotiating power-related contracts, including interconnection agreements, electricity service agreements, PPAs, and behind-the-meter generation structures.

• Nice to have: Experience with early-stage datacenter site-selection diligence, zoning, and permitting processes.

• Nice to have: Tech-savvy with a keen interest in cutting-edge AI technologies.
