This is a fully remote position, open to applicants in New York.
• Provide support for high-volume commercial transactions involving Enterprise Sales, Channel/Alliances, and Customer Success teams.
• Draft, evaluate, and negotiate enterprise commercial agreements, encompassing NDAs, SaaS subscription agreements, order forms, DPAs, and evaluation/trial agreements.
• Assist Sales and Customer Success teams in efficiently closing deals while adhering to company risk policies.
• Review and address customer contract requests, which may include redlines and occasional customer-provided documents.
• Collaborate with Sales and RevOps to keep transactions progressing and resolve issues related to contracts.
• Provide enterprise business leaders with clear and practical guidance.
• Appropriately escalate complex or non-standard issues.
• Utilize and maintain standard templates, clause libraries, and negotiation protocols.
• Enhance contract workflows and processes to accommodate a high-volume sales environment.
• Identify recurring issues and promote consistent handling of these matters.
• Employ legal technology tools to streamline agreement processing and expedite deal closures.
• Work together with Sales, RevOps, Security, and Privacy teams to ensure contract terms align with business and product objectives.
• Offer guidance on common contract terms and determine when to involve the Legal team.
• Support internal enablement initiatives by clarifying standard terms and processes.
• J.D. (or equivalent) from a recognized law school.
• Admitted to practice in at least one U.S. jurisdiction.
• 6-10 years of pertinent in-house experience.
• Strong emphasis on commercial technology transactions.
• Proven experience negotiating SaaS or cloud-based software agreements.
• Familiarity with data protection/security concerns in commercial contracts, including DPAs, security exhibits, incident response, and audit rights.
• Exceptional contract drafting, negotiation, and communication abilities.
• Capability to provide concise, actionable advice to non-lawyers.
• Proficiency in managing multiple deals and priorities in a dynamic, high-growth setting.
• Experience working with and advising senior sales leaders.
• Preferred experience in-house legal within SaaS.
• Preferred experience supporting channel, MSP/MSSP, or distributor models.
• Familiarity with international contracting issues, such as cross-border data transfers, basic GDPR knowledge, and export control is preferred.
• Comfort with leveraging AI and legal tech tools is preferred.
• Prior experience in cybersecurity is a plus.
• Business-oriented and pragmatic mindset.
• Ability to work independently while collaborating across functions.
