This is a fully remote position, open to applicants in Maryland.
• Offer guidance and support in the drafting, review, and management of contracts throughout their lifecycle.
• Assist the Transactions team within the Legal Affairs department.
• Collaborate with the Transactions team, the commercial products division, and the sourcing and procurement teams.
• Draft, negotiate, and finalize contracts with both internal and external stakeholders.
• Manage Master Services Agreements, Statements of Work, Supply Agreements, Maintenance Agreements, and Rental Agreements.
• Serve as a liaison between internal business units and external vendors and suppliers.
• Collect feedback and approvals from stakeholders while ensuring business objectives are achieved.
• Track contractual actions and deadlines, determining suitable courses of action.
• Process contract intake and handle pending contract requests, either independently or in collaboration with attorneys.
• Identify potential issues, negotiate terms, and reduce organizational risk while adhering to policies and procedures.
• Facilitate contract execution and maintain data within Agiloft.
• Act as the Agiloft system administrator in conjunction with Legal Operations.
• Assist in developing policies, procedures, and systems for contract management.
• Prepare and deliver occasional training sessions for internal clients.
• Create strategies and tools aimed at enhancing efficiency and client service.
• Bachelor’s degree.
• Over 7 years of experience as a paralegal.
• Proficient in contract drafting, negotiation, and managing contract systems.
• Strong preference for candidates with in-house corporate experience or a focus on contract terms and conditions.
• Familiarity with Sourcing & Procurement contracts.
• Experience in preparing redlines; substantial experience in redlining agreements.
• Strong comprehension of contract language and the obligations of each party.
• Ability to identify, communicate, and mitigate business risks effectively.
• Working knowledge of the entire contract lifecycle, from initiation to post-execution.
• Understanding of contract relationships and key terms, along with negotiation skills.
• Experience with Agiloft is highly preferred.
• Excellent analytical and problem-solving abilities.
• Strong time management, written, and verbal communication skills.
• Capability to interface with various levels of the organization.
• Technically skilled in Word, Outlook, Excel, and Adobe Acrobat.
• Ability to work independently with minimal supervision.
• Proficient in prioritizing multiple tasks with competing demands.
• Proactive, self-driven, detail-oriented, and precise.
• Ability to exercise sound judgment, discretion, and strong interpersonal skills.
