This is a fully remote position, open to applicants in Maryland.
• Offer guidance and support in contract drafting, review, and management throughout the entire contract lifecycle.
• Assist the Transactions team within the Legal Affairs department.
• Collaborate with the Transactions team, commercial products division, and sourcing & procurement teams.
• Draft, negotiate, and finalize contracts with both internal and external stakeholders.
• Manage Master Services Agreements, Statements of Work, Supply Agreements, Maintenance Agreements, and Rental Agreements.
• Act as a liaison between internal business units and external vendors and suppliers.
• Collect stakeholder feedback and approvals while ensuring alignment with business objectives.
• Track contractual actions and deadlines, determining suitable courses of action.
• Communicate with internal clients regarding contract intake and outstanding contracts.
• Process requests and provide recommendations independently or in collaboration with attorneys.
• Identify issues, negotiate terms, and minimize organizational risks while adhering to policies and procedures.
• Assist in contract execution and maintain data within Agiloft.
• Function as the Agiloft system administrator in conjunction with Legal Operations.
• Contribute to the development of contract management policies, procedures, and systems.
• Prepare and deliver occasional training sessions for internal clients.
• Formulate strategies and tools aimed at enhancing efficiency and improving client service.
• Bachelor’s degree.
• Over 7 years of experience as a paralegal.
• Proficiency in contract drafting, negotiations, and contract management systems.
• Strong preference for experience in an in-house corporate environment or a role focused on contract terms and conditions.
• Familiarity with Sourcing & Procurement contracts.
• Experience in preparing redlines; significant experience in redlining agreements.
• Strong grasp of contract language and the obligations of each party.
• Ability to identify, communicate, and mitigate business risks effectively.
• Working knowledge of the complete contract lifecycle, from initiation through to post-execution.
• Understanding of contract relationships and key terms, along with negotiation strategies.
• Experience with the Agiloft contract management system is strongly preferred.
• Excellent analytical and problem-solving capabilities.
• Outstanding time management, written, and verbal communication skills.
• Capacity to interface with various levels within the organization.
• Proficient in Word, Outlook, Excel, and Adobe Acrobat.
• Ability to work independently with minimal supervision.
• Competence in prioritizing multiple tasks with competing demands.
• Capability to perform effectively in a dynamic, fast-paced environment.
