This is a fully remote position, open to applicants in United States.
• Lead the strategic direction of the legal operations function.
• Enhance legal processes to promote organizational efficiency.
• Supervise personnel who provide legal support for transactions and legal documentation.
• Establish the operational roadmap for the legal department as the company expands.
• Oversee corporate governance procedures and maintain corporate records along with governance documentation.
• Prepare and distribute materials for Board of Directors and committee meetings, including resolutions and governance documentation.
• Organize logistics and documentation for Board and committee meetings.
• Manage corporate entity structures and subsidiary records across both domestic and international jurisdictions.
• Keep capitalization records accurate and assist in coordinating equity administration.
• Lead legal operations teams with a focus on performance management, coaching, and professional growth.
• Aid in the preparation and filing of Forms 10-K, 10-Q, and 8-K.
• Support disclosure controls and procedures.
• Collaborate with Finance and external counsel to ensure compliance with securities laws.
• Uphold insider trading policies and maintain associated reporting documentation.
• Assist with the legal facets of acquisitions, financing, and strategic partnerships.
• Coordinate due diligence and manage documentation processes.
• Maintain transaction documentation and closing records.
• Oversee contract lifecycle management and legal documentation workflows.
• Manage legal department records, document management systems, and implementations of legal technology.
• Control contract templates and workflow processes.
• Implement process improvements and strategic planning to support departmental scalability.
• Facilitate signatures and approvals using electronic signature platforms.
• Support corporate policies and compliance programs.
• Collaborate with Finance, HR, and other departments on governance and compliance initiatives.
• Monitor regulatory filings, deadlines, and corporate reporting obligations.
• Over 10 years of experience in legal operations or as a paralegal, with a significant portion in a leadership role.
• Demonstrated experience managing legal operations teams and handling complex workflows.
• Preferred experience in supporting corporate governance and compliance with securities regulations.
• Strong preference for candidates with experience at a public company or a late-stage pre-IPO organization.
• Prior experience in a law firm or within an in-house legal department.
• Solid understanding of corporate governance processes and entity management.
• Experience in supporting Board and committee meetings.
• Exceptional organizational skills with a keen eye for detail.
• Familiarity with entity management platforms such as Carta, Shareworks, or similar tools.
• Experience with document management systems.
• Proficient in electronic signature tools such as DocuSign.
• Skilled in Microsoft Office and legal workflow tools.
• Ability to make strategic decisions that translate legal requirements into operational solutions.
• Proven leadership skills focused on team development, mentorship, and performance excellence.
• Capability to foster cross-functional alignment across Legal, Finance, and HR departments.
• High degree of professionalism and discretion.
