Senior Legal Counsel – Advisory, Contracts & Regulatory

This is a fully remote position, open to applicants in Brazil.

📋 Description

• Serve as a legal partner to various business sectors, offering advisory support on corporate, contractual, commercial, and regulatory matters.

• Offer legal assistance to the group's Brazilian and international operations.

• Engage in the structuring, evaluation, and execution of new products, services, commercial partnerships, and operational models.

• Identify and assess legal risks associated with operations, proposing alternatives and solutions that align with business requirements.

• Assist internal teams in interpreting legal, regulatory, and contractual obligations.

• Draft, review, negotiate, and manage both domestic and international agreements.

• Analyze and negotiate contracts with strategic partners, financial institutions, acquirers, technology providers, and participants in the payments ecosystem.

• Draft and review NDAs, amendments, terms and conditions, extrajudicial notices, and other legal documents.

• Support agreements related to new products, technological solutions, and international operations.

• Identify contractual risks and recommend mitigation strategies.

• Monitor, interpret, and map laws and regulations pertinent to the group, particularly those concerning financial technology and payments.

• Conduct legal analyses regarding the regulatory classification of products, services, partnerships, and business models.

• Aid in international expansion projects and operations across various jurisdictions, especially Brazil and the United States.

• Collaborate with Brazilian and international law firms and external consultants.

• Provide assistance for projects involving regulatory licenses, registrations, and authorizations.

• Work in conjunction with the Risk & Compliance teams.

• Support corporate policies, regulations, procedures, and governance instruments.

• Assist with corporate matters, reorganizations, and the structuring of group companies.

• Oversee administrative, pre-litigation, and litigation issues, both domestically and internationally.

• Support legal notifications, responses to legal inquiries, and institutional statements.

• Engage in strategic projects that involve various areas and companies within the group.

• Contribute to the enhancement of legal processes, technology tools, document standardization, workflows, and internal controls.

• Manage external legal counsel, ensuring adherence to deadlines, deliverables, scopes, and costs.

⛳️ Requirements

• Law degree and active registration with the Brazilian Bar Association (OAB).

• Extensive experience in corporate, contract, and/or regulatory law, either within an in-house legal department at a technology, fintech, or payments company, or at a law firm specializing in these areas.

• Advanced proficiency in English (required).

• Experience with international agreements.

• Strong business acumen and the ability to translate legal matters for non-legal teams.

• Capability to independently manage matters from inception to completion in a remote and dynamic environment.

• Familiarity with AI tools applied to legal work.

• Experience with Merchant of Record, marketplace, or payfac models (a plus).

• Knowledge of Central Bank of Brazil regulations governing payment arrangements and payment institutions (a plus).

• Experience with cross-border payment operations and foreign exchange regulations (a plus).

• Familiarity with U.S. payments regulations (MSB/MTL) or card network and acquirer rules (a plus).

• Postgraduate degree or LL.M. in corporate, regulatory, or technology law (a plus).
