M&A Counsel

This is a fully remote position, open to applicants in Texas.

📋 Description

• Prepare, assess, and negotiate commercial agreements related to mining, including joint ventures, royalty agreements such as net smelter return (NSR) arrangements, and offtake agreements for both concentrate and doré products.

• Assist with small-scale M&A transactions, which encompass due diligence, drafting, negotiation, and other activities related to North American M&A.

• Offer legal assistance on matters pertaining to corporate and securities.

• Collaborate closely with legal and business stakeholders to grasp business priorities and deliver practical legal advice.

• Independently oversee matters and transactions with minimal oversight in a streamlined legal setting.

⛳️ Requirements

• Significant in-house legal experience with a mining firm.

• Practical experience in mining transactions and commercial agreements.

• Background in supporting corporate, commercial, M&A, joint venture, royalty, or offtake issues.

• Knowledge of public-company and securities regulations.

• Authorized to practice law in the relevant jurisdiction.

• Experience with U.S. securities regulations (preferred).

• Experience in a lean in-house legal team environment (preferred).

• Successful completion of a background check may be necessary.

• Verification of identity and required legal authorization to work.
