Assistant General Counsel

This is a fully remote position, open to applicants in Illinois.

📋 Description

• Oversee intricate negotiations for client contracts

• Offer strategic legal counsel to RRD management

• Design, draft, negotiate, and evaluate complex agreements with clients and vendors

• Draft and negotiate commercial technology contracts

• Provide guidance on data privacy, information security, technology controls, emerging technologies such as AI, and compliance with regulations

• Assist RRD healthcare clients by leveraging knowledge of CMS regulations and industry standards

• Enhance business strategies and performance through proactive legal advice

• Collaborate with executive leadership, cross-functional internal teams, and external stakeholders

• Establish trust and advance corporate goals with limited oversight

• Work collaboratively within a globally diverse team

• Commit to ongoing professional development and career advancement

⛳️ Requirements

• Juris Doctor (JD) degree

• Active membership in good standing with at least one state bar

• At least 5 years of legal experience in a law firm or corporate setting

• Strong emphasis on drafting and negotiating complex commercial contracts

• Proficient in handling complex client and vendor agreements

• Experienced with commercial technology agreements, including intellectual property licenses, software licensing/support, SaaS, cloud computing, AI implementations, development, outsourcing, and consulting contracts

• In-depth knowledge of data privacy, information security, technology controls, emerging technologies, and associated regulatory compliance

• Familiarity with CMS regulations and healthcare industry standards

• Strong academic background

• Skills in strategic risk assessment and mitigation

• Outstanding written, verbal, and drafting abilities

• Capability to convey complex legal concepts in a clear manner

• High integrity and discretion with sensitive information

• Proficient in interpreting laws, business documents, system documents, company policies, and procedures

• Strong negotiation and analytical capabilities

• Ability to collaborate effectively with teams, peers, and management at all organizational levels

• Capacity to manage multiple priorities in a dynamic environment

• Proficient in Microsoft Windows, Word, Excel, and Access

• Successful completion of pre-employment background check and drug screening
