This is a fully remote position, open to applicants in Florida.
• Serve as a strategic legal partner for MGID, advising on AdTech, commercial contracts, privacy, data protection, product matters, regulatory compliance, and disputes.
• Draft, evaluate, and negotiate US commercial agreements, which encompass advertiser, agency, publisher, partnership, vendor, SaaS, data, technology, and service agreements.
• Lead negotiations for significant or high-risk US agreements, supplying legal and commercial guidance.
• Create and maintain US contract templates, fallback positions, negotiation playbooks, and approval protocols.
• Identify and address contractual risks related to liability, indemnities, privacy, data usage, intellectual property, confidentiality, compliance, payments, and terminations.
• Assist Commercial and Operations teams with contractual matters.
• Provide counsel on US privacy and data protection mandates, data flows, tracking technologies, targeted advertising, audience products, and vendor integrations.
• Assess products, features, and commercial initiatives, offering recommendations for privacy-by-design and compliance.
• Keep privacy notices, contractual privacy clauses, internal policies, consent and opt-out mechanisms, and data governance documentation up to date.
• Collaborate with the DPO, Product, Information Security, Compliance, and Technology teams.
• Stay informed about US federal and state laws, enforcement practices, and AdTech standards.
• Provide advice on advertising claims, marketing practices, and consumer protection obligations.
• Assist with regulatory inquiries, complaints, subpoenas, information requests, and enforcement matters.
• Prepare legal updates and implementation guidance regarding US regulatory changes.
• Manage pre-litigation disputes, demand letters, contractual claims, and settlements.
• Coordinate litigation and regulatory issues with external legal counsel; oversee scope, performance, and legal expenditures.
• Maintain records of disputes, deadlines, legal holds, risks, and settlement authority.
• Escalate significant claims, investigations, and liabilities to the Chief Legal Officer.
• Support US corporate governance, subsidiary upkeep, intercompany documentation, delegated authority, and signing arrangements.
• Work with specialist counsel on employment, corporate, tax, litigation, and other local matters.
• Advise HR on routine US employment issues and assist with internal investigations.
• Act as the primary US legal contact for business teams.
• Track significant US legal risks, disputes, regulatory developments, and remediation actions.
• Draft legal memoranda, risk assessments, management summaries, and recommendations.
• Create training and practical guidance for business teams.
• Contribute to global Legal Department initiatives, policies, reporting, and process enhancements.
• Juris Doctor (JD) degree.
• Active membership in good standing with the bar of at least one US state.
• Eligibility to practice or register as in-house counsel in the state where duties are performed.
• A minimum of 8 years of relevant US legal experience.
• At least 3 years of in-house experience within technology, digital media, advertising, SaaS, data-driven businesses, or equivalent law firm experience.
• Proven experience in drafting and negotiating complex commercial and technology agreements.
• Strong understanding of US privacy, data protection, digital advertising, and consumer protection regulations.
• Experience advising on online advertising, tracking technologies, targeted advertising, data collection and sharing, marketing claims, and digital platforms.
• Proficiency in assessing product and commercial initiatives while mitigating legal risks.
• Experience in managing disputes, pre-litigation matters, regulatory inquiries, claims, and relationships with external litigation counsel.
• Ability to independently handle significant legal matters and negotiations with minimal supervision.
• Capability to provide clear, practical, and commercially balanced legal advice.
• Exceptional legal drafting and negotiation abilities.
• Strong stakeholder management skills.
• A commercial and solution-oriented mindset; sound professional judgment; ability to prioritize based on legal and business risks.
• Ability to communicate effectively with senior stakeholders and clarify complex US legal requirements to non-US and non-legal colleagues.
• Ability to function effectively in a fast-paced international environment and work autonomously with the global Legal team.
• High standards of integrity, professional ethics, confidentiality, ownership, and accountability.
• Willingness to disclose any external legal practice, advisory roles, board positions, clients, or other professional commitments that might create conflicts or affect availability.
• Preferred qualifications include experience in AdTech, MarTech, digital media, programmatic advertising, or online publishing; knowledge of NAI, DAA, and IAB; experience with FTC or state regulators; familiarity with CCPA/CPRA compliance; expertise in AI or automated decision-making; knowledge of IP, content licensing, employment, corporate governance, sanctions/export controls, or international compliance; relevant privacy qualifications such as CIPP/US or CIPM; experience working with globally distributed teams; and familiarity with contract templates, legal playbooks, approval matrices, or CLM tools.
