Senior Director – Mergers & Acquisitions

This is a fully remote position, open to applicants in Illinois.

📋 Description

• Act as the primary contact for Corporate M&A and the main advisor to the CFO, CEO, and Executive Chairman on acquisitions, divestitures, joint ventures, and strategic investments.

• Assess where the Company invests capital and pinpoint transformational opportunities.

• Oversee transaction execution and ensure value realization post-close.

• Collaborate with Corporate Strategy leadership to define and implement Lamb Weston's inorganic growth strategy.

• Identify, assess, and rank acquisition, partnership, joint venture, and investment opportunities.

• Develop M&A investment theses that align with long-term growth goals.

• Keep track of industry trends, competitive dynamics, market disruptions, and emerging opportunities.

• Maintain relationships at the executive level with investment bankers, advisors, and potential transaction partners.

• Source and assess acquisition prospects.

• Construct and supervise valuation, financial modeling, and scenario-planning analyses.

• Lead negotiations with senior executives and external advisors.

• Manage comprehensive financial, operational, commercial, tax, human resources, and legal due diligence.

• Structure transactions to optimize strategic and financial results, achieve synergies, and reduce risks and integration challenges.

• Prepare investment proposals for executive leadership and the Board.

• Guide deal execution from signing through to close.

• Develop synergy cases and frameworks for investment returns.

• Collaborate with business leaders to set integration priorities and responsibilities.

• Assist in planning and executing post-close integration.

• Monitor value realization and find ways to accelerate returns.

• Present complex financial and strategic analyses to senior executives.

• Provide insights on significant investment opportunities.

• Support enterprise capital allocation decisions.

• Advise leadership on strategic alternatives, risks, and opportunities for value creation.

• Mentor promising finance professionals.

• Lead a team of Analysts or Managers and manage ad hoc cross-functional teams.

• Contribute to the advancement of the Company's strategic finance capabilities.

• Cultivate an enterprise-wide business perspective beyond M&A execution.

⛳️ Requirements

• Bachelor's degree in Finance, Economics, Accounting, Business Administration, or a related field.

• 8+ years of experience in investment banking, private equity, corporate development, strategic finance, or M&A advisory.

• Extensive transaction experience in acquisitions, divestitures, mergers, strategic investments, or joint ventures.

• Proficient in financial modeling and valuation techniques.

• Strong commercial insight and analytical rigor.

• Proven track record of influencing senior executives and business leaders.

• Exceptional written, presentation, and communication abilities.

• Experience in managing multiple strategic priorities in a dynamic environment.

• Vice President or equivalent experience in a prominent investment banking, private equity, or corporate development firm.

• Experience interacting with public company boards and executive leadership teams.

• Experience in multinational corporations.

• Knowledge of regulatory, governance, and compliance aspects related to strategic transactions.
