Senior Counsel – Commercial Regulatory

This is a fully remote position, open to applicants in Arizona, +12 more states.

📋 Description

• Draft, review, negotiate, and provide counsel on various commercial agreements, including those related to services, procurement, purchase orders, statements of work, vendors, suppliers, licensing, real estate, SaaS, technology, distribution, sales, partnerships, strategic alliances, NDAs, and other intricate agreements.

• Spearhead negotiations for high-value and strategically significant transactions involving cross-functional stakeholders.

• Identify and address legal and business risks while facilitating business objectives.

• Create and maintain contract templates, playbooks, negotiation guidelines, and legal resources.

• Counsel business teams throughout the contract lifecycle, from structuring and negotiation to execution and performance.

• Assist in strategic transactions and corporate initiatives.

• Collaborate with leaders to ensure compliance with federal, state, and local regulatory programs and economic incentives, including DOE initiatives, grants, tax incentives, Foreign Trade Zone operations, logistics, transportation, customs, and trade matters.

• Provide insights on laws, regulations, and industry standards relevant to the company's products, services, and operations.

• Keep track of emerging regulatory developments and evaluate their impact on the business.

• Work alongside compliance, risk, privacy, information security, and other teams on various initiatives.

• Assist in the formulation of policies, procedures, and controls to meet regulatory requirements.

• Support responses to regulatory inquiries, audits, investigations, and interactions with government entities.

• Integrate regulatory protections and requirements within commercial agreements.

• Act as a trusted legal advisor to senior business leaders and cross-functional teams.

• Simplify complex legal and regulatory issues into actionable business guidance.

• Evaluate risk and determine when escalation is necessary.

• Collaborate across Legal and corporate functions.

• Contribute to initiatives aimed at improving legal processes, technology, knowledge management, and operational efficiency.

⛳️ Requirements

• Juris Doctor (J.D.) degree from an accredited law school.

• Admission to at least one U.S. state bar in good standing.

• Generally, 6+ years of relevant legal experience.

• Extensive experience managing sophisticated commercial transactions.

• Proficient in drafting and negotiating complex commercial agreements.

• Capability to independently handle transactions and provide pragmatic legal advice to business stakeholders.

• Experience advising on regulatory, compliance, or industry-specific legal issues.

• Strong grasp of contract law and the allocation of commercial risk.

• Exceptional negotiation, communication, analytical, and problem-solving abilities.

• Ability to prioritize multiple tasks and work efficiently in a dynamic, business-driven environment.

• Strong business judgment with the ability to reconcile legal risk and commercial priorities.

• Preferred: in-house legal experience, especially within a sophisticated commercial organization.

• Preferred: experience supporting technology, SaaS, financial services, healthcare, manufacturing, energy, or other highly regulated sectors.

• Preferred: experience working closely with senior executives and business leadership.

• Preferred: familiarity with privacy, data protection, consumer protection, advertising, licensing, or other pertinent regulatory frameworks.

• Preferred: experience in developing contract playbooks, templates, or legal processes.

• Previous experience working with regulatory agencies or responding to regulatory inquiries is advantageous.
