This is a fully remote position, open to applicants in United States.
β’ Take charge of strategic partnerships, providing commercial support for key product initiatives as well as for M&A due diligence and integration.
β’ Draft, assess, and negotiate intricate OEM, technology licensing, and strategic alliance partnership contracts.
β’ Negotiate terms related to IP ownership, license scopes, data rights, and conditions concerning AI.
β’ Collaborate with Product and GTM leaders to develop commercial models for new offerings and convert them into terms for customers and partners.
β’ Oversee commercial contract diligence on acquisition targets, pinpoint significant risks, and manage contract integration and assignment workstreams post-acquisition.
β’ Provide guidance to executives on deal structuring, negotiation tactics, and risk considerations.
β’ Supervise, mentor, and nurture a Senior Counsel.
β’ Create playbooks, templates, and scalable processes for the department.
β’ Liaise with legal colleagues in commercial, product/IP/AI, privacy, security, and procurement.
β’ Collaborate with senior leaders and executives across Business Development, Technology Partnerships, Product, Engineering, Finance, and Corporate Development.
β’ Juris Doctor (JD) from an accredited U.S. law school or equivalent, holding a current license to practice law in a U.S. state.
β’ At least 12+ years of legal experience focused on technology transactions, ideally combining top-tier law firm experience with in-house experience at a technology firm.
β’ Extensive knowledge in IP licensing and complex technology agreements, including OEM, strategic alliances, and SaaS.
β’ Proficiency in AI tools with a proven history of leveraging them for increased efficiency in drafting, contract review, due diligence, or knowledge management.
β’ Demonstrated success in leading high-stakes, high-visibility negotiations with large, sophisticated counterparties.
β’ Strong business judgment and commercial acumen: capable of structuring deals, advising on trade-offs, and providing clear recommendations to senior executives.
β’ Experience in managing or mentoring attorneys, or a proven readiness to assume a leadership role in a player-coach capacity.
β’ Exceptional written and verbal communication skills, with the ability to articulate complex legal issues in straightforward business language.
β’ Ability to thrive in ambiguity, maintain a fast pace, and manage competing high-priority tasks.
β’ Experience in the cybersecurity and/or enterprise SaaS industries.
β’ Knowledge of AI and data licensing, including model, training data, output rights, and terms for agentic or autonomous AI products.
β’ Experience with channel, OEM, and MSSP/service-provider programs.
β’ M&A experience, particularly in commercial diligence and post-acquisition contract integration (preferred but not required).
