Senior Corporate Attorney

This is a fully remote position, open to applicants in New York.

📋 Description

• Provide guidance to sophisticated business clients on a wide array of corporate and commercial issues.

• Design, draft, assess, and negotiate intricate commercial agreements and business transactions.

• Advise clients on corporate governance, entity structuring, strategic transactions, and daily business operations.

• Assist with mergers, acquisitions, investments, financing, and other complex transactions as needed.

• Oversee transactions from initial structuring and due diligence through negotiation and finalization.

• Recognize legal and business risks and formulate practical solutions that align with client goals.

• Collaborate directly with executives, founders, investors, and other key business decision-makers.

• Work alongside attorneys from various practice areas to deliver comprehensive client solutions.

• Independently handle multiple complex matters while ensuring exceptional quality of work.

• Foster trusted relationships with clients through responsive, strategic, and commercially focused guidance.

⛳️ Requirements

• Over 5 years of significant corporate or commercial law experience in private practice.

• J.D. from a recognized Top 100 U.S. law school.

• Active bar license in the state of residence.

• Strong experience in commercial contract drafting and negotiation.

• Exceptional analytical, drafting, communication, and problem-solving abilities.

• Experience in advising sophisticated business clients.

• Current experience in a private practice law firm is strongly preferred.

• Preference for experience in a distinguished midsize, Am Law, or Big Law firm.

• Highly valued experience in M&A, private equity, venture capital, financing, or other transactional work.

• Capacity to independently manage complex client matters.

• Strong business acumen and a practical, solution-oriented mindset.

• Portable business is welcome but not mandatory.
