Project Attorney – DFC

This is a fully remote position, open to applicants in District of Columbia, +1 more state.

📋 Description

• Provide guidance on the legal and policy dimensions of the DFC’s equity investment initiative.

• Structure, perform due diligence, negotiate, and document intricate, multi-million-dollar international debt and equity transactions in emerging markets.

• Offer counsel on debt, direct equity, convertible and non-convertible instruments, warrants, and various equity or quasi-equity frameworks.

• Assist with limited-recourse project financing, structured and corporate financing, guarantees, security arrangements, and engineering and procurement contracts.

• Advise on direct equity and investment fund transactions, fund formation, co-investments, joint ventures, framework agreements, specialized compacts, and offtake agreements.

• Act as the lead negotiator in transactions with borrowers, sponsors, investees, co-investors, lenders, agencies, and other parties.

• Oversee transaction closings, disbursements, subscriptions, and capital calls.

• Monitor current investments and financing arrangements while supporting portfolio restructurings.

• Evaluate and provide advice on foreign and international law, corporate issues, collateral, intercreditor matters, shareholder rights, jurisdiction, dispute resolution, and DFC policies.

• Lead intricate, sensitive, and potentially precedent-setting projects.

• Collaborate with DFC professionals, external legal counsel, governmental bodies, businesses, embassy officials, and senior officials.

• Exercise independent judgment on innovative or sensitive transaction structures.

• Create new legal strategies, transaction frameworks, policies, criteria, or procedures.

• Respond swiftly to correspondence, calls, and requests from stakeholders.

• Perform additional related responsibilities as assigned.


⛳️ Requirements

• U.S. Citizenship is required.

• Must be capable of obtaining and maintaining a Public Trust or Secret Security clearance, as necessary.

• A J.D. or LL.B. from an accredited law school is essential.

• Current membership in good standing of a bar with a valid license to practice law in a U.S. state or territory, the District of Columbia, or the Commonwealth of Puerto Rico is required.

• At least 5 years of full-time professional legal experience post-admission to the bar.

• Proven experience in advising on direct equity investments and/or private equity fund investments in emerging markets.

• Strong background in sophisticated cross-border transactional matters.

• Experience, preferably in project finance, infrastructure, development finance, private equity, investment funds, or similar international investment structures.

• Ability to independently lead negotiations and provide advice to senior stakeholders on complex or novel legal issues.

• Excellent legal research, analytical, drafting, negotiation, and problem-solving skills.

• Capacity to manage multiple complex transactions or workstreams concurrently.

• Outstanding interpersonal and communication abilities.

• High level of professionalism, discretion, responsiveness, and attention to detail.

• Willingness to travel domestically and internationally approximately 15% of the time.
