This is a fully remote position, open to applicants in United States.
• Assist the legal team at Teamshares with a variety of legal projects and responsibilities.
• Provide support for obligations as a publicly traded entity, which includes Section 16 filings, compliance with the Exchange Act and Nasdaq, administration of D&O questionnaires, insider trading policy management, equity plan oversight, and logistics for Board and annual meetings.
• Aid in managing acquisition closings, encompassing stock purchases, asset purchases, and mergers.
• Coordinate and review due diligence deliverables such as lien, UCC, and title searches.
• Draft and negotiate ancillary transaction documentation.
• Enhance document management and legal compliance systems for network companies.
• Implement and sustain employee ownership initiatives, including equity administration and cap table upkeep.
• Develop approaches to refine the acquisition process.
• Collaborate with the product development team to utilize software for enhanced efficiency and scalability.
• Support corporate governance for Teamshares and its subsidiaries, which includes preparing Board and committee materials, resolutions, consents, good standing certificates, minute books, and equity records.
• Establish new subsidiaries and prepare formation documents, organizational resolutions, and IRS Form SS-4 applications.
• Assist with routine litigation and pre-litigation matters, such as wage garnishments, income withholding orders, HR/payroll compliance, deadlines, and litigation files.
• Manage relationships with registered agents, filing agents, and vendors.
• Maintain the contract repository, compliance calendar, and intellectual property docket.
• Over 8 years of paralegal experience.
• Experience with M&A transactions acquired in a law firm environment and as part of the in-house legal team of a publicly traded company.
• A paralegal degree, certificate, or similar training is preferred but not mandatory.
• Strong communication and organizational abilities.
• Outstanding verbal, written, and interpersonal communication skills.
• Capability to take initiative and assume responsibility for work streams while working independently.
• Proficient in managing and driving the M&A closing process.
• Ability to form legal entities, including the filing of formation or incorporation documents and SS-4 applications.
• Prior experience in drafting Board and Shareholder/Member Consents.
• Experience with routine litigation and pre-litigation matters is advantageous.
• Familiarity with supporting corporate governance and public company compliance functions is a plus.
• A notary public commission is a plus.
• Knowledge of legal technology and contract management tools is an advantage.
