This is a fully remote position, open to applicants in California.
• Deliver high-level transactional support for real estate, corporate, finance, municipal, and mergers and acquisitions sectors.
• Take charge of substantial transaction duties from initiation through to closing and post-closing administration.
• Aid in commercial real estate transactions, conducting due diligence, reviewing titles and surveys, leases, financing, and preparing closing documentation.
• Draft, review, and assess purchase and sale agreements, leases, loans, tax documents, escrow papers, corporate records, and other related transactional paperwork.
• Create closing checklists, critical-date timelines, title documents, closing statements, affidavits, entity authorizations, escrow instructions, and closing binders.
• Coordinate transaction documentation and closings with attorneys, clients, lenders, title and escrow companies, consultants, governmental agencies, opposing counsel, brokers, and vendors.
• Perform research on legal matters, public records, real property, corporate issues, taxes, liens, UCC filings, titles, leases, licenses, and contracts.
• Organize business entities and prepare filings for incorporation, mergers, acquisitions, dissolutions, governance, UCC, and other related matters.
• Maintain corporate records, minute books, capitalization details, tickler systems, and databases for entity management.
• Utilize approved AI and legal technology tools for document review, summarization, abstraction, comparison, analysis, due diligence, and workflow automation.
• Manage virtual data rooms and electronic transaction closings; oversee dashboards, diligence matrices, issue lists, schedules, reports, and transaction documents.
• Verify AI-generated outputs and collaborate on enhancements in legal technology and processes.
• A minimum of 7 years of experience as a transactional paralegal.
• Bachelor’s degree in Arts or Science from an accredited institution, or equivalent experience.
• Paralegal certification from an ABA-approved program or a work experience affidavit that complies with California Business and Professions Code Sections 6450–6456.
• In-depth knowledge of commercial real estate transactions, corporate governance, business entity management, finance transactions, and mergers and acquisitions.
• Experience in overseeing complex due diligence reviews and extensive transactional document collections.
• Expertise in virtual data room platforms, electronic signature solutions, transaction management systems, entity management software, and corporate governance tools.
• Familiarity with AI-driven contract review, document abstraction, due diligence processes, transaction management, and workflow automation technologies.
• Capability to responsibly utilize generative AI tools and validate AI-generated content.
• Awareness of ethical, confidentiality, cybersecurity, privilege, and client-specific considerations related to AI in legal practices.
• Strong project management skills for coordinating intricate transactions and various stakeholders.
• Exceptional organizational, analytical, technical, critical thinking, proofreading, writing, interpersonal, verbal, and written communication abilities.
• Ability to work independently, handle multiple priorities, meet tight deadlines, and adjust to changes in workflow.
• Must be willing to travel on short notice for the Firm's needs.
