Legal Counsel

This is a fully remote position, open to applicants in Poland.

📋 Description

• Prepare, review, and negotiate SAFEs, convertible instruments, share purchase agreements, and shareholder agreements.

• Oversee the investment due diligence process, including approvals, signing, and closing.

• Manage the fund's involvement in new rounds, secondaries, and exits.

• Evaluate consents and amendments.

• Assist portfolio founders with legal inquiries related to the fund.

• Collaborate on the Limited Partnership Agreement (LPA) and side letters.

• Draft resolutions and facilitate investor approvals and onboarding.

• Address the legal components of capital calls and distributions.

• Work alongside administrators and local attorneys on international structures.

• Create corporate documents and agreements.

• Respond to documentation requests from banks and auditors.

• Engage directly with partners, investment and finance teams, founders, fellow legal counsel, and external lawyers.

⛳️ Requirements

• 2–5 years of legal experience.

• Strong foundation in corporate law or M&A.

• Proficiency in English.

• Experience in drafting and reviewing legal documents.

• Ability to discuss legal documents with founders, investors, and external counsel.

• Capability to manage matters independently, including document drafting, engaging with counterparties, and driving projects to completion.

• Practical approach to legal issues, which includes identifying business goals, assessing legally viable options, providing recommendations, and clarifying material risks.

• Experience in venture capital is advantageous but not mandatory.

• In-house experience following private practice is beneficial.

• Background can include a law firm, Big Four legal team, a company with a robust legal function, or an investment fund.
