Legal Counsel

This is a fully remote position, open to applicants in Ukraine.

📋 Description

• Prepare, evaluate, and oversee commercial agreements, which include Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), assignment agreements, and various contracts related to clients and suppliers.

• Assist with contractual issues that involve both Ukrainian and global counterparties.

• Perform legal due diligence and evaluate legal risks associated with suppliers, contractors, and business partnerships.

• Offer legal guidance and support to internal teams across HR, IT, Marketing, Finance, and Operations regarding contractual, commercial, and compliance-related issues.

• Handle debt recovery and accounts receivable legal matters, which entails advising on collection strategies, negotiating repayment plans, resolving payment disputes, and working with internal stakeholders and external counsel to minimize financial risks.

• Help maintain and revise internal legal templates, policies, and contractual processes.

• Track legislative and regulatory developments pertinent to the business and suggest updates to internal policies and contractual frameworks.

• Collaborate with external legal advisors on specialized or cross-border issues.

⛳️ Requirements

• Master's degree in law.

• Proficiency in English and Ukrainian, including expertise in legal drafting.

• Prior experience with international agreements and counterparties.

• Over 2 years of professional legal experience in IT, outsourcing, SaaS, or international business settings.

• Fundamental understanding of data protection and privacy laws, such as GDPR and related regulations.

• Demonstrated practical experience in negotiating, drafting, and reviewing contracts with clients and suppliers.

• Strong analytical, legal, and research skills, with a keen attention to detail.
