This is a fully remote position, open to applicants in United States.
• Take ownership of the complete process of drafting, reviewing, and negotiating sales agreements, which includes SaaS subscription agreements, MSAs, amendments, and contracts with state and local governments.
• Provide assistance with agreements involving subcontractors, resellers, partners, DPAs, security addenda, and SLAs.
• Negotiate clauses regarding limitation of liability, indemnification, insurance, data privacy, security, breach-related matters, confidentiality, intellectual property, and data ownership.
• Oversee multiple contracts simultaneously and escalate complex or high-risk issues to the General Counsel.
• Review and respond to public sector solicitations such as RFPs and RFQs.
• Identify and escalate any non-standard or high-risk government terms.
• Ensure compliance with procurement regulations, grant requirements, and data/security obligations.
• Analyze subcontracting and flow-down provisions found in partner agreements.
• Collaborate with Sales and Finance on deal structuring, execution, and renewals.
• Offer practical legal advice and initial support concerning sales-related issues involving Product, Security, and Compliance.
• Contribute to the development of contract templates, playbooks, and standardized positions.
• Monitor recurring negotiation issues and report significant trends to the General Counsel.
• Assist in internal efforts related to data privacy and security compliance.
• Juris Doctor (J.D.) degree from an accredited law school.
• Active bar membership in good standing.
• Over 7 years of relevant experience, including commercial contracting in a law firm or an in-house setting.
• Direct experience with SaaS or technology-related agreements.
• Familiarity with government contracting, especially with state and local experience strongly preferred.
• Exceptional drafting and negotiation abilities.
• Sound judgment to work independently on complex issues.
• Capacity to handle multiple priorities and meet competing deadlines in a fast-paced environment.
• Experience working directly with public sector clients is preferred.
• Knowledge of data privacy and security terms in SaaS agreements is preferred.
• Familiarity with SOC 2 or comparable compliance frameworks is preferred.
• Experience with subcontracting, reseller, or partner models is preferred.
• Comfort in advising on legal issues related to new or emerging technologies and products is preferred.
