This is a fully remote position, open to applicants in United States.
β’ Take charge of the people workstream for Payward's M&A initiatives, overseeing everything from initial diligence to closing and integration.
β’ Create and manage the PX due diligence questionnaire, which encompasses data requests, targeted inquiries, follow-ups, and in-depth workshops.
β’ Analyze extensive, low-structured data rooms filled with employment contracts, organizational information, compensation and equity documents, policies, and claims history utilizing AI and automation.
β’ Convert findings into prioritized risk indicators that are assessed against Payward's risk tolerance, accompanied by clear recommendations.
β’ Oversee the people-related aspects of deals, including compensation modeling, equity treatment, retention and earn-out structures, and deal-specific considerations.
β’ Partner with corporate development, legal, finance, and PX leadership; utilize subject-matter experts and support recommendations with data-driven insights.
β’ Serve as the PX program manager during post-signing integration, facilitating organizational design, leveling and compensation alignment, retention execution, and Day 1 readiness for personnel.
β’ Transform deal insights into reusable playbooks, DDQ templates, risk assessments, and automation processes.
β’ Over 8 years of experience in M&A-related people/HR diligence, integration, total rewards, or corporate development.
β’ Proven ownership of the people workstream on successfully completed deals.
β’ A history of managing multiple diligence processes simultaneously within strict timelines.
β’ Strong analytical skills; adept at modeling compensation, equity, dilution, retention costs, and integration expenditures.
β’ Experience with global/cross-border deals involving multi-jurisdictional and/or regulatory change-of-control employment considerations.
β’ Demonstrated ability to leverage AI and automation for reviewing extensive document volumes.
β’ Capacity to make and articulate risk assessments with incomplete information.
β’ Ability to clearly communicate positions to executive stakeholders.
β’ Established credibility in negotiations with founders regarding compensation, equity, and retention frameworks.
β’ Strong instincts for confidentiality and comfort in managing live, undisclosed transactions.
β’ High level of agency in uncertain situations.
β’ Experience in crypto, fintech, or regulated financial services acquisitions is a plus.
β’ Background in integrating founder-led or early-stage teams is a plus.
β’ Experience in developing a diligence or integration playbook from the ground up is a plus.
