Group Chief Financial Officer

📋 Description

• Develop a comprehensive sum-of-the-parts valuation framework for each business unit.

• Organize entities to optimize individual multiples and enhance group synergy value.

• Transition the group from founder-led reporting to institutional-quality financials and readiness for due diligence.

• Introduce the group to the market early and utilize feedback from buyers and advisors to drive operational improvements.

• Create the group’s equity narrative, information memorandum, and management presentation.

• Oversee the capital event process in collaboration with the CEO and external advisors, including engaging buyers, supporting due diligence, negotiating, and reporting post-transaction.

• Design the employee incentive framework at the group level.

• Establish the regulated fund and investor infrastructure.

• Safeguard and enhance the economics of the Decentralized Masters cash flow engine.

• Develop the holding-company structure across various jurisdictions in partnership with legal and tax advisors.

• Select and implement the group’s ERP and consolidation platform.

• Create shared services and define intercompany and transfer-pricing policies.

• Generate unit-level profit and loss statements and allocate capital across paid media, personnel, software, fund seed capital, acquisitions, and reserves.

• Manage performance-marketing economics, pricing strategies, offer ladders, cohort analysis, renewals, churn, refunds, chargebacks, and payment plan defaults.

• Lead the selection of fund jurisdiction and structure, administration, net asset value, audit, fee and carry mechanics, subscriptions, redemptions, and investor reporting.

• Ensure regulatory compliance across UAE regulations, including VARA, ADGM, FTC advertising claims, securities considerations, and wealth and tax planning regulations.

• Manage group cash forecasts, liquidity, working capital, banking relationships, merchant accounts, processors, and digital-asset treasury policies.

• Maintain relationships and budgets with external counsel, auditors, tax advisors, and transaction advisors.

• Oversee corporate filings, licenses, renewals, tax deadlines, and major agreement commercial terms.

⛳️ Requirements

• 10–20 years of experience in finance, with at least 3 years in a CFO, Group CFO, or VP Finance role, holding full P&L and balance sheet responsibility.

• Direct, hands-on involvement in transactions, including sell-side or minority sale processes.

• Experience in managing a multi-entity holding company or portfolio across diverse businesses.

• Proficiency in sum-of-the-parts valuation for software, subscription publishing, services, and fee-earning investment firms.

• Knowledge of performance-marketing economics, including customer acquisition cost, lifetime value, payback periods, and front-end versus back-end analysis.

• Experience across multiple jurisdictions with real consolidation, preferably including the UAE, the US, and Europe.

• Proven track record of managing relationships with external counsel, auditors, and transaction advisors.

• Fully knowledgeable in IFRS and US GAAP, capable of defending technical positions under scrutiny.

• Demonstrable experience in utilizing AI tools within finance roles.

• Depth of knowledge in financial services across at least two of the following areas: publishing, education, software, wealth management, or fund management (highly preferred).

• Experience in structuring or operating an investment fund (highly preferred).

• Background in private equity operations or experience with PE-backed firms (highly preferred).

• Exposure to cryptocurrency and digital assets (highly preferred).

• Familiarity with subscription accounting and deferred revenue (highly preferred).

• Strong communication skills, an entrepreneurial mindset, comfort with ambiguity, and high attention to accuracy in reporting.

• Must be at ease coordinating legal, regulatory, and corporate affairs.

• Must currently be using AI tools in their work.
