📋 Description

• Deliver strategic and scalable legal advice across Hello Heart’s product lineup, which includes its FDA-approved heart monitor, mobile application, AI-driven health insights, and AI medication assistant.

• Lead the negotiation of customer-facing contract terms related to data rights, AI and machine learning application, product features, and operational limitations.

• Provide counsel on terms of service, disclosures, disclaimers, and other legal safeguards.

• Advise on collaborative practice agreements, regulatory structures for management services organizations, compliance, fee-splitting, and restrictions on corporate practice of medicine.

• Guide data privacy, HIPAA, consumer protection, and product-operation risk considerations in collaboration with Compliance.

• Draft, review, and negotiate customer contracts, amendments, statements of work, and other client-facing agreements.

• Examine existing contracts regarding data usage rights, data ownership, and contractual responsibilities.

• Oversee and manage member-facing terms, disclosures, and legal documents; provide advice on product liability risk.

• Support responsible AI governance, including customer-specific requirements, contractual obligations, transparency duties, and escalation of legal concerns.

• Counsel on telehealth, pharmacy review, health information exchange data, state-specific consent language, disclosures, disclaimers, notices, and associated agreements.

• Offer strategic advice on intellectual property matters, including patent portfolio management, trade secrets, open-source compliance, and IP provisions.

• Keep abreast of industry trends, case law, enforcement actions, and litigation developments related to AI in healthcare, FDA regulations, telehealth, Medicare, Medicaid, digital health IP, and data rights.

• Advise on relationships with health plans and requirements for Medicare Advantage, Medicaid managed care, and ACA marketplaces.

• Counsel on compliance with the Federal Acquisition Regulation and the Defense Federal Acquisition Regulation Supplement for government contracts.

• Report to the General Counsel and collaborate with teams across Product, Engineering, Clinical, Data Science, Sales, Client Support, Compliance, Security, and others.


⛳️ Requirements

• Strong fluency in AI, including the use of AI tools and agent-based workflows for legal research, risk assessment, drafting, process design, and cross-functional execution.

• Over 15 years of legal experience in healthcare, digital health, or health technology.

• Proven track record in leading teams or workstreams focused on product counseling, commercial transactions, litigation, and compliance-related enforcement risks.

• Familiarity with advising on product development, regulatory submissions, technology-related legal issues, and consumer-facing product disclosures and terms of service.

• Experience with FDA-regulated software, Software as a Medical Device, or digital health products is highly preferred.

• Knowledge of AI and machine learning governance frameworks, responsible AI principles, healthcare AI regulations, and AI-related contractual commitments and negotiations.

• Significant experience with HIPAA, FDA software, AI and machine learning technologies, FTC health data enforcement, Medicare, Medicare Advantage, Medicaid managed care contracting, corporate practice of medicine frameworks, data rights, consumer protection, and healthcare litigation and enforcement risks.

• Proven ability to draft and provide counsel on terms of service, disclosures, disclaimers, consent language, notices, and other consumer-facing legal documentation in regulated healthcare or technology settings.

• Juris Doctor degree from an accredited law school in the United States.

• Active license in good standing with a state bar.

• Preferred experience negotiating and structuring agreements with health plans, including managed care organizations, Medicare Advantage plans, or Medicaid managed care plans.

• Preferred experience in law firms or in-house positions at health technology or digital health companies.

• Capacity to quickly absorb new information, internalize feedback, and exercise sound judgment within changing regulatory landscapes.

• Exceptional written and verbal communication skills.

• Ability to provide clear, practical advice in a distributed environment and collaborate effectively with Compliance, Privacy, Security, Product, and Commercial stakeholders.
