Corporate Transactional Attorney

This is a fully remote position, open to applicants in United States.

📋 Description

• Draft, review, and negotiate mergers and acquisitions, asset purchase agreements, and various business transactions.

• Prepare and negotiate commercial leases, employment agreements, construction contracts, and corporate agreements.

• Provide advice to clients on corporate governance, business formations, compliance, and contractual issues.

• Oversee transactional legal matters while working closely with clients and other professionals.

• Conduct due diligence, identify transaction-related risks, and create practical legal solutions.

• Offer strategic guidance to business owners and healthcare professionals regarding significant business decisions.

⛳️ Requirements

• Juris Doctor (JD) degree is mandatory.

• Active admission to the Georgia Bar is required.

• A minimum of 4 years of experience in corporate law, business transactions, or commercial contracts.

• Strong expertise in drafting, reviewing, and negotiating complex business agreements.

• Practical experience in commercial contract drafting and negotiation is essential.

• Experience with mergers and acquisitions, including asset purchase agreements, is highly preferred.

• Background in healthcare, dental, or medical practice transactions is a plus.

• Exceptional communication, negotiation, legal writing, and organizational skills.

• Capability to independently manage assignments and cultivate strong client relationships.
