Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Review, prepare, and negotiate a diverse array of commercial agreements, such as health plan, provider, subcontractor, commercial service, business associate, confidentiality/non-disclosure, vendor, technology, and employment-related agreements.

• Ensure that contract terms adhere to company policies, mitigate risks, and align with operational requirements.

• Provide advice to internal teams regarding contract terms and their impact on business operations, offering guidance and practical solutions.

• Manage both inbound and outbound client contracts throughout the review process.

• Direct contract provisions to the relevant internal business owners for their review and approval.

• Monitor contract status from the initial request through to execution, following up with internal teams to ensure timelines are met.

• Keep organized and up-to-date contract files, templates, and clause libraries.

• Support compliance and governance activities related to Medicare, Medicaid, HIPAA, and health plan compliance.

• Maintain corporate legal records, contracts repository, entity documents, and compliance files.

• Assist with regulatory filings, annual reports, and the preparation of documents for audits or client reviews.

• Collaborate with internal legal, compliance, and business teams to provide general legal support as necessary.

⛳️ Requirements

• Juris Doctor (JD) from an accredited U.S. law school is mandatory.

• A minimum of 3 years of experience as an attorney in reviewing, drafting, and negotiating a broad spectrum of commercial contracts.

• Experience in the healthcare sector and familiarity with healthcare-related contracting is preferred, including health plan and provider contracting.

• Strong grasp of contract law, commercial terms, indemnification, HIPAA, privacy and data-sharing regulations, and risk-mitigation strategies.

• Exceptional interpersonal skills with the capacity to collaborate effectively across various functions.

• High ethical standards and the ability to manage confidential and sensitive information with discretion.
