This is a fully remote position, open to applicants in United States.
• Draft, review, modify, and oversee the execution of standard and moderately complex contracts, amendments, business associate agreements, confidentiality agreements, statements of work, and other legal documents.
• Conduct initial substantive reviews of third-party contract templates, identify non-standard legal provisions, and prepare suggested revisions for attorney evaluation.
• Collaborate with attorneys and business stakeholders to facilitate contract negotiations and address routine contractual matters.
• Perform legal and factual research relating to contractual provisions, regulatory requirements, and internal policies.
• Create contract summaries, issue lists, and redlines to assist in attorney reviews and negotiations.
• Maintain contract files, documentation, version control, and execution records within the contract management system.
• Track contract status, approval workflows, renewals, amendments, and expiration dates.
• Aid in the upkeep of contract templates, clause libraries, legal forms, and departmental procedures.
• Address internal inquiries regarding contract processes, legal forms, and standard contractual language.
• Engage in initiatives aimed at enhancing contract management processes and operational efficiency.
• Uphold the confidentiality of privileged and sensitive legal information.
• Bachelor's degree in Legal Studies, Business Administration, Paralegal Studies, or a related field.
• Minimum of three years of experience in a corporate legal department, law firm, or contract administration role.
• Preferred experience in drafting and reviewing commercial contracts and legal documents.
• Familiarity with commercial contract principles and legal terminology.
• Capability to identify contractual risks and recognize when legal issues necessitate attorney review.
• Understanding of contract lifecycle management and legal document administration.
• Excellent legal writing, editing, proofreading, and document review abilities.
• Strong analytical, organizational, and critical-thinking skills with the capability to manage multiple priorities and deadlines.
• Exceptional interpersonal skills and the ability to collaborate effectively with attorneys and business clients.
• Proficiency in Microsoft Office and contract management systems such as DocuSign CLM, Legisway, or similar platforms.
• Experience in healthcare, managed care, or regulated industries is preferred.
• A paralegal certificate or contract management certification is an advantage.
