This is a fully remote position, open to applicants in United States.
• Acquire knowledge about Truven's products, business model, strategy, and culture to facilitate revenue objectives through contracting activities.
• Initiate, assess, revise, and negotiate various transactional contracts, including data agreements, SaaS agreements, master agreements, SOWs, BAAs, trial agreements, NDAs, teaming agreements, independent contractor agreements, and vendor agreements.
• Effectively manage both standard and complex contracts.
• Lead competitive bidding efforts by evaluating RFIs and RFPs, identifying issues, and offering subject matter expertise for bid responses.
• Review contract terms and conditions, assess previous terms, identify needs for amendments or renewals, and negotiate revisions utilizing contract playbooks.
• Oversee contract reviews and collaborate with in-house counsel, sales, compliance, finance/accounting, information security, and other internal subject matter experts.
• Cultivate business relationships with Truven leadership, clients, and suppliers.
• Support the development of playbooks, templates, processes, and clause libraries to enhance enterprise contracting.
• Utilize contract management systems, identifying, implementing, and supporting enhancements and new technologies.
• Undertake additional duties and responsibilities as required.
• Bachelor's Degree along with 10 years of experience in drafting, negotiating, and consulting on contracts.
• Experience dealing with data privacy issues and agreements.
• Background in healthcare technology, technology software & services, or healthcare.
• Strong drafting and negotiation capabilities, with a proven track record of finalizing complex transactions.
• A practical, business-oriented problem solver with a demonstrated ability to prioritize effectively.
• Highly detail-oriented, with a sense of urgency and a commitment to producing high-quality work with minimal supervision.
• Steadfast commitment to delivering customer service to both internal and external clients.
• Outstanding interpersonal, verbal, and written communication skills.
• Advanced proficiency in Microsoft Word and PowerPoint.
• Familiarity with CRM and CLM tools.
• Experience with Salesforce, Docusign, or similar platforms.
• Proven experience in providing training or education to internal clients.
• History of driving organizational change and improvements.
• Knowledge of government contracts and procurement processes.
• Must meet employment authorization requirements; Merative participates in E-Verify.
