Commercial Counsel

This is a fully remote position, open to applicants in Canada.

📋 Description

• Manage legal matters delegated by the Senior Legal Counsel – Commercial Affairs.

• Draft, assess, and negotiate commercial contracts and agreements with customers and suppliers in both French and English.

• Depending on experience, oversee the structuring, drafting, assessment, negotiation, and finalization of commercial and corporate transactions.

• Develop and sustain French and English agreement templates pertinent to Québec.

• Work in partnership with the Legal, Compliance, and cross-functional teams to advise internal clients and facilitate Harris’s growth.

• Advocate for the needs of business units with customers, suppliers, and partners; collaborate with external legal counsel during negotiations and dispute resolutions.

• Keep abreast of legal trends and risks associated with the Québec and federal legislative and regulatory frameworks.

• Engage in the development and enhancement of compliance programs concerning public contracts and the safeguarding of personal information.

⛳️ Requirements

• Bachelor of Civil Law (LL.B. or equivalent) from an accredited law school.

• Admission to the Québec Bar and a membership in good standing, with the authorization to practice law in Québec.

• Three to five years of experience in commercial or technology law within Québec, either at a reputable law firm or as in-house counsel.

• Capability to work autonomously with business units and execute responsibilities with minimal oversight.

• Exceptional time-management skills and the ability to handle multiple deadlines and priorities concurrently.

• Proficient in analyzing complex situations and data to evaluate risks, impacts, and next steps, while exhibiting curiosity and creativity in resolving various issues.

• Strong interpersonal and collaboration abilities, with a desire to be part of a close-knit legal team.

• Familiarity with SaaS solutions, hosting, software licensing agreements, and Québec contract and obligations law.

• Outstanding spoken and written proficiency in both French and English.

• Understanding of relevant Québec and federal privacy laws, including Law 25.
