Commercial Contracts Consultant – Tech, Data Licensing

This is a fully remote position, open to applicants in United States.

📋 Description

• Manage technology and data licensing agreements in North America from initial review to final signature, handling approximately 10 intricate, high-value agreements monthly.

• Review, modify, and negotiate complex technology agreements, including SaaS, software licenses, IT services, and data licensing agreements.

• Engage with both the client's templates and the counterparty’s documents.

• Negotiate directly with counterparties until the agreement is signed or the matter is resolved.

• Collaborate with internal stakeholders in IT, procurement, data/privacy, and intellectual property to comprehend business requirements, risks, and timelines.

• Independently manage routine issues and escalate complex or high-risk matters to the client's legal team and subject-matter experts.

• Utilize Eudia's AI platform and client-specific playbooks while providing feedback for their enhancement.

• Create concise summaries of negotiated positions for stakeholders.

⛳️ Requirements

• Must be a licensed (barred) attorney in the US; all negotiations are to be conducted by a barred attorney, with agreements governed by US law.

• Over 10 years of experience in negotiating technology contracts, preferably in-house or at a firm specializing in commercial technology.

• Essential experience in SaaS, software licensing, and data licensing.

• Familiarity with data protection and data licensing terms, including data usage rights, data processing agreements (DPAs), intellectual property ownership, liability, and indemnities.

• Confidence in negotiating directly with counterparties and managing heavily negotiated, high-risk agreements.

• Must be based in North America or capable of working North American hours.

• Comfortable working within a client's systems and processes; experience with Onit is advantageous.

• Proficient in using AI-assisted contract review tools.

• Preferred: experience with construction or procurement agreements.
