This is a fully remote position, open to applicants in Pennsylvania.
β’ Act as legal counsel for a specific department or defined area of law.
β’ Offer legal guidance and counsel to management and staff regarding corporate and business matters.
β’ Collaborate with business leaders to grasp strategic direction, changes, and objectives while advising on legal concerns.
β’ Implement and uphold legal policies and procedures.
β’ Conduct training sessions for internal clients on designated legal subjects.
β’ Work alongside Finance & Accounting, Sales & Sales Excellence, Corporate Operations, Engineering/Product Development, Marketing & Communications, and other teams to ensure legal adherence and safeguard the company's interests.
β’ Assist with governance functions, public filings, entity management, and oversight.
β’ Keep track of legislative and agency announcements, publications, and activities.
β’ Research, monitor, and update privacy and data regulation notices, policies, standards, guidelines, and processes.
β’ Address privacy concerns and guide teams on compliance with privacy laws.
β’ Create position papers, presentations, and documentation related to public policy.
β’ Evaluate new product development for compliance with intellectual property policies and develop IP strategies.
β’ Participate in patent searches and assessments.
β’ Support the evaluation of potential third-party infringements of Unisys intellectual property.
β’ Assist senior attorneys in intellectual property disputes and litigation.
β’ Engage in trademark searches for new marks and rebranding efforts.
β’ Provide advice to HR teams and management regarding employment and labor matters.
β’ Contribute to the development of organizational policies and initiatives from an employment law perspective.
β’ Manage disputes, internal investigations, subpoenas, litigation administration, and eDiscovery processes.
β’ Ensure accurate reporting of litigation, disputes, subpoenas, and bankruptcy issues.
β’ Draft, negotiate, and interpret commercial contracts.
β’ Review, advise on, and negotiate software licensing, SaaS, professional services, and online terms and conditions contracts.
β’ Collaborate with business associates to address contract negotiation challenges.
β’ Provide guidance on operational legal matters, including data strategy and data licensing.
β’ BA/BS degree.
β’ Juris Doctor (JD) from an accredited U.S. law school and 5-7 years of relevant experience, or an equivalent combination of education and experience.
β’ Experience in the public sector is required.
β’ Preferred experience in the technology industry.
β’ Eligibility for any necessary U.S. government authorizations to access export-controlled commodities and technology.
β’ Ability to comply with applicable U.S. export control regulations.
