Associate General Counsel Manager

This is a fully remote position, open to applicants in Pennsylvania.

📋 Description

• Act as legal counsel for a specific department or defined area of law.

• Offer legal guidance and counsel to management and staff regarding corporate and business matters.

• Collaborate with business leaders to grasp strategic direction, changes, and objectives while advising on legal concerns.

• Implement and uphold legal policies and procedures.

• Conduct training sessions for internal clients on designated legal subjects.

• Work alongside Finance & Accounting, Sales & Sales Excellence, Corporate Operations, Engineering/Product Development, Marketing & Communications, and other teams to ensure legal adherence and safeguard the company's interests.

• Assist with governance functions, public filings, entity management, and oversight.

• Keep track of legislative and agency announcements, publications, and activities.

• Research, monitor, and update privacy and data regulation notices, policies, standards, guidelines, and processes.

• Address privacy concerns and guide teams on compliance with privacy laws.

• Create position papers, presentations, and documentation related to public policy.

• Evaluate new product development for compliance with intellectual property policies and develop IP strategies.

• Participate in patent searches and assessments.

• Support the evaluation of potential third-party infringements of Unisys intellectual property.

• Assist senior attorneys in intellectual property disputes and litigation.

• Engage in trademark searches for new marks and rebranding efforts.

• Provide advice to HR teams and management regarding employment and labor matters.

• Contribute to the development of organizational policies and initiatives from an employment law perspective.

• Manage disputes, internal investigations, subpoenas, litigation administration, and eDiscovery processes.

• Ensure accurate reporting of litigation, disputes, subpoenas, and bankruptcy issues.

• Draft, negotiate, and interpret commercial contracts.

• Review, advise on, and negotiate software licensing, SaaS, professional services, and online terms and conditions contracts.

• Collaborate with business associates to address contract negotiation challenges.

• Provide guidance on operational legal matters, including data strategy and data licensing.

⛳️ Requirements

• BA/BS degree.

• Juris Doctor (JD) from an accredited U.S. law school and 5-7 years of relevant experience, or an equivalent combination of education and experience.

• Experience in the public sector is required.

• Preferred experience in the technology industry.

• Eligibility for any necessary U.S. government authorizations to access export-controlled commodities and technology.

• Ability to comply with applicable U.S. export control regulations.
