Associate General Counsel, Corporate

This is a fully remote position, open to applicants in United States.

📋 Description

• Act as the legal lead on ABS transactions, structured debt deals, and M&A activities.

• Prepare, evaluate, and negotiate transaction agreements, credit facilities, and contracts with third parties.

• Assist with IPO readiness initiatives and fulfill SEC reporting responsibilities.

• Oversee external legal counsel for Capital Markets and Finance issues.

• Monitor legal and market changes impacting the business and proactively identify potential issues.

• Contribute to corporate governance tasks, including the preparation of board and committee meetings and corporate resolutions.

• Provide legal support for the capital markets and securitization program along with the Finance team.

• Report directly to the Deputy General Counsel.

⛳️ Requirements

• Juris Doctor degree from an accredited law school.

• Active membership in good standing with at least one U.S. state bar.

• A minimum of 5 years of relevant experience in a law firm or 7 years of combined in-house or legal experience.

• Practical experience in drafting, reviewing, and negotiating complex corporate contracts.

• Proven experience with SEC reporting requirements, including 10-K, 10-Q, 8-K, and proxy statements.

• Strong understanding of current SEC regulations and disclosure obligations.

• Excellent analytical, writing, and communication abilities.

• Capability to explain legal concepts to non-legal professionals.

• Strong organizational and project management competencies.

• Ability to prioritize tasks and work independently without daily oversight.

• Commitment to high standards of integrity, humility, and sound judgment.

• Willingness to work remotely with occasional travel for team meetings and business requirements.
