Associate General Counsel

This is a fully remote position, open to applicants in District of Columbia, +1 more state.

📋 Description

• Act as a reliable legal advisor for senior leadership and cross-functional business teams.

• Draft, review, negotiate, and oversee various commercial agreements, such as master services, subscription, vendor, partnership, reseller, data processing, and licensing agreements.

• Collaborate with Sales and business development teams on intricate enterprise transactions while managing legal and commercial risks.

• Create and sustain contract playbooks, templates, fallback positions, and contracting workflows.

• Offer insights on contractual risks, liabilities, indemnifications, intellectual property, confidentiality, data usage, security, and commercial matters.

• Provide counsel on legal topics concerning technology, data, cybersecurity, privacy, and emerging technologies.

• Identify and address legal and regulatory risks linked to company products and services.

• Support scalable data and technology policies, processes, and legal frameworks.

• Keep track of legal and regulatory changes impacting cybersecurity, technology, data, AI, privacy, and cyber risk intelligence.

• Assist the CLO and executive leadership with corporate, strategic, and complex legal issues.

• Aid in corporate governance, strategic transactions, investments, M&A, financing activities, and other corporate initiatives.

• Support board, investor, and executive-level engagements.

• Coordinate with and oversee outside counsel.

• Develop and enhance legal processes and workflows for a rapidly expanding organization.

• Manage the contract lifecycle management system.

• Create frameworks to identify, prioritize, and mitigate legal and business risks.

⛳️ Requirements

• J.D. from an ABA-accredited law institution.

• Active license in good standing in at least one U.S. jurisdiction.

• 7–10+ years of relevant legal experience, ideally a blend of law firm and substantial in-house experience.

• Extensive experience in drafting, reviewing, and negotiating complex commercial and technology agreements.

• Proven ability to independently manage intricate legal issues from identification through resolution.

• Strong comprehension of commercial, technology, data, privacy, cybersecurity, and/or technology-related legal concerns.

• Excellent legal judgment with the capability to differentiate between significant risk and manageable risk.

• Exceptional written and verbal communication abilities, including the capacity to clearly explain complex legal concepts to non-legal audiences.

• A practical, solutions-oriented perspective on legal risk.

• Strong organizational skills and the capability to prioritize multiple high-impact issues in a dynamic environment.

• Demonstrated effectiveness in collaborating with outside counsel and managing legal resources.

• Preferred: Experience in cybersecurity, threat intelligence, risk intelligence, SaaS, data, AI, or other technology sectors.

• Preferred: Background in privacy, data protection, information security, emerging technology, or cybersecurity issues.

• Preferred: Experience in a high-growth, venture-backed, or private equity-backed company.

• Preferred: Familiarity with M&A, strategic transactions, financing, or corporate governance.

• Preferred: Previous law firm experience at a nationally recognized or Am Law firm.

• Legally authorized to work in the United States.

• Completion of a background check is mandatory for employment.
