Associate Counsel – Contracts

This is a fully remote position, open to applicants in United States.

📋 Description

• Prepare, evaluate, modify, and negotiate standard and moderately intricate commercial agreements for both customers and vendors.

• Analyze contract provisions for clarity, consistency, legal and business risks, and alignment with company policies.

• Recognize non-standard or higher-risk issues that necessitate further review or escalation.

• Engage in both written and verbal negotiations with opposing parties and legal counsel.

• Assist in resolving redlined issues and facilitate agreements through to execution.

• Review key commercial terms including indemnification, liability limitations, termination clauses, intellectual property rights, confidentiality, privacy, data protection, and security measures.

• Liaise with the Senior Contract Attorney and the legal team regarding contract terms, risk assessments, negotiation strategies, and issues requiring escalation.

• Collaborate with business stakeholders to comprehend commercial goals and translate those needs into contractual language.

• Assist in managing the contract lifecycle from initiation to execution, which includes version control, obtaining approvals, signatures, recordkeeping, status tracking, and documentation.

• Utilize contract management systems, databases, and AI-powered legal technology for contract drafting, review, redlining, analysis, and management.

• Conduct legal research on commercial contracting matters and share insights and recommendations.

• Apply judgment within established guidelines and escalate issues to senior legal counsel or subject-matter experts as necessary.

• Keep abreast of legal developments and contribute to enhancements in contract templates, processes, consistency, and efficiency.

• Report directly to the Senior Contract Attorney.

⛳️ Requirements

• Juris Doctor degree from an accredited law institution.

• Active membership in good standing with at least one U.S. state bar.

• 1-2 years of pertinent legal experience, ideally related to commercial contracting.

• Proficiency in drafting, reviewing, redlining, or negotiating commercial agreements.

• Prior experience utilizing AI-enabled tools for contract review, drafting, redlining, or analysis is preferred.

• Strong analytical and legal research skills with a keen eye for detail and precision.

• Outstanding written and verbal communication abilities, including a talent for conveying legal and contractual matters clearly to non-lawyers.

• Capability to effectively organize and prioritize tasks, manage various matters simultaneously, and meet deadlines.

• Sound judgment, an eagerness to seek advice and accept feedback, and the ability to gain increasing independence as experience accumulates.

• Proficiency in Microsoft Office Suite.

• Willingness to learn and utilize contract management software, database systems, and related legal technologies.

• Proven ability to collaborate with legal and business teams and establish productive working relationships throughout the organization.
